المستخلص: الشركة المهنية هي شركة مدنية ذات شخصية اعتبارية مستقلة يؤسسها شخص أو أكثر من المرخص لهم ممارسة مهنة حرة واحدة أو أكثر ومنهم أو من غيرهم، وتسري على الشركة المهنية الأحكام الخاصة بشكل الشركة الذي تتخذه وبما لا يتعارض مع طبيعتها، ومع سرعة انتشار الشركات المهنية حتى أصبحت واقعا عمليا يستدعي دراسة جوانبها القانونية من حيث التأسيس والانقضاء، وحيث جاءت نصوص نظام الشركات المهنية في المملكة العربية السعودية لتضع تنظيما متكاملا للشركات المهنية للأشخاص المرخص لهم بمزاولة مهنة حرة، وأتاح لهم أن يكونوا فيما بينهم شركات مدنية تتمتع بالشخصية المعنوية، وفي المقابل نجد المشرع المصري تجاهل وضع قانون خاص لتنظيم أحكام الشركة المهنية، مما ترتب عليه وجود الكثير من المشكلات في الواقع العملي حول هذا النوع من الشركات، فقد اختلفت آراء حول الطبيعة القانونية للشركات المهنية في مصر، وعما إذا كانت ستخضع لأحكام القانون المدني أم قانون الشركات والقانون التجاري ومن ثم تناول البحث ماهية الشركة المدنية المهنية وصورها وتمييزها عن غيرها من الشركات في مبحث تمهيدي، كما استعرض البحث قواعد تأسيس الشركة المهنية في القانون المصري والنظام السعودي في الفصل الأول منه، ثم انقضاء الشخصية المعنوية للشركات المدنية المهنية في فصل ثان، متبعا المنهج التأصيلي التحليلي وصولا لعدد من النتائج والتوصيات ومن أهمها ضرورة إصدار المشرع المصري تنظيما للشركات المدنية المهنية على غرار المنظم السعودي الذي جاء بأحكام مستحدثة لتأسيس هذا النوع من الشركات مع وضع القواعد البديلة عن القضاء لتسوية المنازعات الناشئة عن إبرام أو تنفيذ أو إنهاء عقد الشركة المهنية، كقواعد الوساطة والتسوية الودية والتحكيم.

A professional company is a civil company with an independent legal personality established by one or more persons licensed to practice one or more free professions, whether they are from others. A practical reality that calls for studying its legal aspects in terms of incorporation and termination, and where the texts of the Professional Companies Law in the Kingdom of Saudi Arabia came to establish an integrated organization for professional companies for persons licensed to practice a free profession, and allowed them to be among them civil companies enjoying a legal personality, The system also allowed licensed Saudi professionals to participate in specialized foreign professional companies under the conditions set by the competent authorities. We find the Egyptian legislator ignoring the development of a special law to regulate the provisions of the professional company, which resulted in the existence of many problems in practice about this type of companies, opinions differed about the legal nature of professional companies in Egypt, and whether they will be subject to the provisions of the Civil Code or the Companies Law and the Commercial Law. Then the research dealt with the nature of the professional civil company and its images and distinguishing it from other companies in an introductory study. The research also reviewed the rules for establishing a professional company in the Egyptian law and the Saudi system in the first chapter of it, then the lapse of the legal personality of professional civil companies in a second chapter, following the analytical rooting approach to a number of results and recommendations, the most important of which is the need for the Egyptian legislator to issue an organization for professional civil companies similar to the regulator The Saudi who came up with new provisions for the establishment of this type of company with the development of alternative rules for the judiciary to settle disputes arising from the conclusion, implementation or termination of a professional company contract, such as the rules of mediation, amicable settlement and arbitration.
