المستخلص: يعتبر عقد التوزيع من أهم الطرق الحديثة في تداول المنتجات والبضائع والخدمات وتصريفها وتسويقها سواء كان هذا النوع من العقد على الصعيد المحلي أو الدولي، وإيصالها للمستهلكين مما زاد من حجم الإنتاج والاستهلاك، ونظرا للحاجة الملحة لتنظيم هذا العقد فقد كان هدف هذا البحث حول بيان أوجه هذا العقد وأركانه وآثاره وانقضاؤه والتزامات كل من المنتج والموزع وانقضاء العقد وتصفية الرابطة العقدية، إذ لا يوجد تنظيم قانوني أو كيان تشريعي في القانون الأردني ينظم هذا العقد نظرا لأهميته ومما يسبب كثير من الإشكاليات في التطبيق من الناحية العلمية وأحيانا نطبق القواعد العامة وأحيانا قانون الوكلاء والوسطاء التجاريين، إذ أصبحت الحاجة ملحة لوضع نظام قانوني ينظم قواعد وأحكام هذا العقد، ثم خلص الباحثين إلى النتائج والتوصيات والتي أوصى الباحثين بضرورة وجود تشريع ينظم هذا العقد من حيث ماهيته وتعريفه وأركانه وأطرافه والتزامات وحقوق طرفيه، وانقضاؤه والآثار المترتبة عليه وتصفية الرابطة التعاقدية من حيث مصير البضائع والعلامة التجارية وقطع الغيار والعملاء الذين كان الموزع يتعامل معهم وغيرها من الروابط الناتجة عن العقد.

The distribution contract is considered an important modern method for exchanging, selling, and marketing products, goods and services. It may be a local and international contract. It ensures that goods shall be delivered to consumers. Thus, concluding commercial distribution contracts shall increase the volume of production and consumption. There is a need for having legislations that regulate this contract. Therefore, the present study aims to identify the meaning, elements, and effects of this contract. It aims to identify the duties of the producers and the distributor under this contract. It aims to shed a light on the termination of this contract and the way of terminating the contractual relationship arising from this contract. In Jordan, there isn’t a law nor a legal body that regulates this contract. This contract is very important. There are several problematic issues associated with the implementation of this contract in reality. For instance, sometimes, the general rules are enforced on commercial distribution contract. In other times, the law of business brokers and agents is enforced on commercial distribution contracts. Hence, there is an urgent need for enacting a law that identify the rules and provisions that regulate commercial distribution contracts. Several results were reached, and several recommendations were suggested. For instance, the researchers recommend enacting a law that regulates commercial distribution contracts. Such a law should identify the meaning, elements, and parties of the commercial distribution contract. It should identify the duties and rights of the parties of the commercial distribution contract. It should address the way of terminating the contractual relationship arising from the commercial distribution contract. Addressing that should occur through shedding a light on the way of dealing with the goods, trademarks, and spare parts. It should occur through shedding a light on the way of dealing with the customers that the distributor used to deal with. It should occur through shedding a light on the way of handling the other relationships derived from this contract.
