|a تناولت الورقة البحثية دراسة عقود الاستثمار وتعريفها في القوانين الوطنية وفي الاتفاقيات الدولية ونشأتها دوليا مع التطرق إلى قوانين الاستثمار في كل من العراق والسودان والطبيعة 55ف5 القانونية لها باعتبارها وسيلة تمويل مهمة لتنمية الاقتصادية والارتقاء بالمستوى المعيشي والخدمي للدولة لكن لم تكن تلك الحوافز والضمانات التي تقدمها الدولة المضيفة للاستثمار إلى المستثمرين كافية لجذبهم واستقطابهم بل تعدت رغبة المستثمر بالحصول على ضمانات عملية وخاصة القانونية منها لحماية استثماراتهم من الهلاك أو دخولهم في دوامة عدم استقرار الأوضاع السياسية والاقتصادية لتلك الدول المضيفة للاستثمار مما يحول دون إمكانية إتمام مشروعاتهم الاستثمارية وتعثر تنفيذها. اتبعت الدراسة المنهج الوصفي والتحليلي المقارن. وتصل الدراسة لعدة نتائج أهمها: لا تكتسب عقود الاستثمار الصفة الإدارية كأساس لأعمال قانون الدولة المتعاقدة وأن سيادة الدولة وسلطانها لا يرتبط بإدارية عقود الاستثمار. تنتفي الصفة المدنية في العقود لأن هنالك من الشروط ما يسلب من القضاء الوطني سلطة الدولة وهيبتها وربما إن النصوص توقع الجزاءات عليها. أن عقود الاستثمار عقود ذات طبيعة مختلطة تجمع بين خصائص القانون الخاص والعام. أوصت الدراسة بإنشاء مراكز دراسات في الدول تعمل على دراسة الجوانب القانونية لعقود الاستثمار، يضم الأساتذة والباحثين المختصين في هذا المجال، بحيث يقوم بتقديم بحوث ودراسات لكل نوع من أنواع عقود الاستثمار المختلفة وبيان إي منهما يحقق المصلحة الاقتصادية للبلد، وكذلك تقديم الأسلوب الأمثل لتحديد الطبيعة القانونية لهذه العقود.

|b The research paper discusses investment contracts and their definitions in national laws and in the international agreements, international development with illustrating investment laws in Iraq and Sudan and its legal nature as they are considered an important for economic development and promote living and service level of the country. These incentives and guarantees that are introduced by the host country to the investors to attract them were not enough but the investors desire to obtain practical specially legal guarantees to protect their investment from elimination or entering the crises of unstable political and economic situations of investment host country which prevent them from complete their investment projects and delay in implementation. Analytical method; the research come up of several results, the most important are: Investment contracts do not acquire administrative character as the basis for the acts of the law of a Contracting State and the sovereignty and authority of the State is not related to the administration of investment contracts. Civil status in contracts is lacking because there are certain conditions that the national jurisdiction will have the power and prestige of the State and the texts may impose sanctions on them. Investment contracts are contracts of a mixed nature that combine the characteristics of private and public law. The study recommended the establishment of centers of studies in countries that study the legal aspects of investment contracts, including professors and researchers specialized in this field, to provide research and studies for each type of investment contracts and each of them to achieve the economic interest of the country, as well as the best method to determine the legal nature For these contracts
