|a تعتبر قاعدة الشراكة الدنيا واحدة من الأحكام المقيدة للاستثمار الأجنبي التي، وإن كانت تجد مبرراتها المقبولة في المحافظة على الاقتصاد الوطني من خطر تحويل العملة وخطر سيطرة الاستثمارات الأجنبية على المحلية منها وما يستتبع ذلك من تبعية اقتصادية تمس بالسيادة الوطنية، فهي في المقابل تشكل حيادا تاما عن مستلزمات الاقتصاد الحر الذي يفرض الانفتاح والمغامرة وتحمل بعض المخاطر، وفي وقت تزداد فيه الحاجة إلى الاستثمارات الأجنبية بالنظر إلى الوضعية الاقتصادية الصعبة التي تعيشها الجزائر يعتبر الوقف موقفا وسطا إزاء قاعدة الشراكة الدنيا من أكثر الحلول قبولا وهو حصر القاعدة في القطاعات الحساسة فقط أو التعامل معها بأسلوب حالة بحالة الأمر الذي يفرض إلغاءها من قانون المالية وإدراجها ننسب متفاوتة ضمن مختلف النصوص المنظمة للنشاطات الاقتصادية على اختلاف أنواعها.

|b The mandatory minium partnership rule is one of the restrictive provisions of foreign direct investment. Despite its numerous justifications including: maintaining the national economy from the risk of currency conversion, and the risk of foreign investment domination at the expense of local ones, as well as the consequent economic dependence that affects the national sovereignty, they are in contrast of the requirements of the free economy, wich imposed openness, adventure and risk taking. Consequently, the most acceptable solution of the effective implementation of the minium partnership rule is to limit it to sensitive sectors only or deal with it in a case by case.

|d La règle de partenariat minimale (49/ 51%) dans l’investissement étranger décrit comme une règle restrictive sur ce dernier. Malgré ses avantages au niveau de l’économie nationale tels que la confrontation des risques de transfert de devises ainsi que le danger de domination des investissements étrangers et la menace pour la souveraineté nationale, elle apparait en contraste comme une disposition contradictoire à l’économie de marché qui est fondée sur l’idée de risque. Pour ces raisons, la solution acceptable est de limiter l’application de la règle de partenariat dans les secteurs sensibles tels que l’hydrocarbure ainsi que le secteur bancaire, ou l’adoption d’une étude d’investissement au cas par cas.
