المستخلص: يتناول البحث إحدى المسائل الهامة المتعلقة بحوكمة الشركات المدرجة في السوق الرئيسي للأوراق المالية الكويتي ألا وهي قاعدة الفصل بين منصبي الرئيس التنفيذي ورئيس مجلس الإدارة والتي مؤداها ألا يشغل نفس الشخص منصبي الرئيس التنفيذي ورئيس مجلس الإدارة. حيث صدرت في الكويت عام 2013 لائحة الحوكمة ونصت بشكل مباشر على أن تلتزم الشركات المدرجة بمبدأ الفصل بين المنصبين، إلا أنه وبعد عامين فقط أي في عام 2015 صدرت لائحة أخرى حلت محل الأولى، وبناء على هذه اللائحة الجديدة تم حذف هذا المبدأ، وعليه ووفقا للائحة الحوكمة الحديثة لا تلتزم الشركات المدرجة بالفصل بين المنصبين. ونظرا لما تتسم به حوكمة الشركات بالنسبة للشركات المدرجة من أهمية، وما لها من حساسية تجاه كافة المتغيرات الاقتصادية والاجتماعية والسياسية، أثار البحث عددا من التساؤلات منها: ما أثر هذا المبدأ على قواعد الحوكمة؟ وما مدى إلزام الشركات المدرجة بتطبيقه وفقا للوضع الحالي؟ وهل هناك حلول عملية تتسم بالمرونة ترضي جميع الأطراف؟ وعليه يكون هدف البحث هو الإجابة عن التساؤلات السابقة، واستجلاء الملامح والجوانب المختلفة بأسلوب علمي منطقي من خلال اتباع المنهج الوصفي التحليلي للنصوص القانونية في التشريع الكويتي.

This article deals with one of the most important issues related to corporate governance of Kuwait’s main securities market: the difference between the responsi¬bilities of a company’s Chief Executive Officer (CEO) and the Chairman of the Board. Kuwait issued a code of corporate governance in 2013 and stipulated that the listed companies should abide by the principle of separation of the two posts. However, after two years a regulation was issued in 2015 to replace that principle. According to the 2015 governance code, listed companies are not obliged to separate the responsibili¬ties of these two positions. Corporate governance as it related to listed companies is sensitive to econom-ic, social and political variables. Given this, the 2015 governance code raises a num¬ber of questions. For example, what is the impact of this principle on the rules of governance; to what extent are listed companies obliged to apply it according, given the current situation; and are there practical solutions that could be found that would satisfy the parties concerned? The goal of this research is to answer these and other related questions and to clarify the various aspects of the issues in a logical and sci¬entific way by following the analytical descriptive method of legal texts in Kuwaiti legislation.
