|b In spite of the predominance of the organizational concept as well as the financial character of the companies which it reflects by the fact that the texts do not target the person but rather its financial share in the social capital. This does not preclude, however, that the organizational aspect is in itself sufficient reason to invoke and activate the personal aspect of the founders and members of the boards of directors of these companies in connection with the imposition by the Algerian legislator of a set of restrictions for those wishing to create or run for the boards of directors of corporations.

|a رغم سيادة المفهوم النظامي وكذا الطابع المالي لشركات المساهمة، والذي انعكس على مجمل خصائصها من حيث أن النصوص القانونية المتضمنة أحكام شركة المساهمة تخاطب أساسا مالية المساهم وليس شخصه. إلا أن ذلك لم يمنع من أن يكون الجانب التنظيمي نفسه مدعاة لاستحضار وتفعيل الجانب الشخصي في المؤسسين وأعضاء مجالس إدارة هذه الشركات، وذلك في إطار فرض المشرع الجزائري لجملة من الضوابط لمن يرغب في تأسيس أو الترشح لعضوية مجالس إدارة شركات المساهمة.
