المستخلص: Cet article met sous les yeux le contrat civil comme instrument de création et d’organisation de la personne morale privée; faisant référence aux principaux objectifs que poursuivent les associés en utilisant le contrat. Le premier type d’objectif consiste à mettre sur pied une véritable coopération, reposant sur un principe d’égalité et supposant une affectio societatis poussée et un fort intuitus personne. Le second objectif tient à organiser le pouvoir de certains associés au sein de l’entreprise.
C’est à travers ces objectifs de collaboration et de contrôle qu’il convient d’envisager le contrat comme instrument d’organisation de la société.


تتناول هذه الدراسة موضوع دور العقد كأداة لإنشاء وتنظيم الشخص الاعتباري الخاص في ضوء القانون الفرنسي ونظيره الجزائري. في هذا الشأن تسلط الدراسة الضوء على دور العقد كأداة لإنشاء القواعد التي تنظم عمل الشخص (المؤسسة) بما يضمن تحقيق الأهداف الرئيسية التي يسعى إليها المؤسسون. وضمن هذا التحديد تستعرض الدراسة، من جهة، دور العقد كأداة لتحقيق إقامة التعاون الفعلي بين المؤسسين، بما يبرز اختلاف المراكز القانونية فيما بينهم قوة وضعفًا. وتستعرض، من جهة أخرى، دور العقد كأداة لتمكين المؤسسين من إقامة رقابة وتوجيه صارمين لضمان حسن تنظيم عمل المؤسسة.

This study deals with the role of the contract as a tool for the creation and organization of a private legal person in light of French law and its Algerian counterpart. In this regard, the study highlights the role of the contract as a tool for creating rules governing the work of a person (institution) that ensures the achievement of the main objectives pursued by the founders. Within this definition, the study reviews, on the one hand, the role of the contract as a tool to achieve effective cooperation between the founders, highlighting the different legal positions between them in terms of strength and weakness. On the other hand, it reviews the role of the contract as a tool to enable founders to establish strict oversight and guidance to ensure proper organization of the organization's work.
