تبحث هذه الدراسة في موضوع بغاية الأهمية يتمثل في مدى فاعلية تسجيل الشركات لدى مؤسسة المناطق الحرة، نظرًا للدور الذي تقوم به هذه الشركات في جلب المستثمرين وتنميتهم وانعكاس ذلك كله على جوانب مختلفة سواء كانت سياسية أو اقتصادية أو اجتماعية. وتبرز أهمية هذه الدراسة في كونها تحاول بيان كيفية تأسيس الشركات في المناطق الحرة، والجهات التي تمارس دور الرقابة على هذا التأسيس، وصولًا إلى توحيد هذه الجهات بهدف إعطاء القدرة لهذه الشركات على تحقيق الأهداف المرجوة منها، كما تهدف هذه الدراسة إلى تحديد أشكال وغايات هذه الشركات، والبحث في حياتها القانونية وصولًا إلى انقضائها. وتبرز مشكلة هذه الدراسة في أن تأسيس الشركات في المناطق الحرة يخضع لقوانين وأنظمة عدة، وهو أمر يشكل عائقًا حقيقيًا أمام الاستثمار داخل المناطق الحرة، لذا فإن هذه الدراسة تحاول حل مشكلة التداخل المتعلق بالجهات المسئولة عن تأسيس هذه الشركات بهدف إناطة مهمة الرقابة عليها لجهة واحدة. وقد اعتمدت هذه الدراسة منهج البحث الوصفي التحليلي لأحكام وقواعد قانون الشركات الأردني رقم (22) لسنة 1997 وتعديلاته، وقانون مؤسسة المناطق الحرة رقم (32) لسنة 1984 والأنظمة الصادرة بموجبه، وكانت أهم النتائج التي توصلت إليها هي خضوع الشركات العاملة في المناطق الحرة لنظام رقابة مزدوج، إذ يمارس هذا الدور مراقب الشركات وأمين السجل في مؤسسة المناطق الحرة. وقد أوصت هذه الدراسة بحل هذه المشكلة من خلال توحيد الأحكام الخاصة بتسجيل هذه الشركات، وجعلت هذه المهمة قاصرة على أمين السجل في مؤسسة المناطق الحرة، وتجريد مراقب الشركات من أي دور في تسجيل هذه الشركات.\
This study deals with a very important topic that is reflected in the extent of legal efficiency of the companies' registration at the Free Zones Corporation in Jordan. This is due to the important role of such companies in attracting and developing investors and thus achieving positive reflection on different political, economic or social aspects. The importance of this study lies in clarifying the foundation of the companies at the free zones. In addition, this companies is to determine the official departments which are responsible for controlling this foundation in order to reach a unified responsibility for control and thus granting these companies the ability of achieving their objectives. Furthermore, this study targets to clarify or limit the forms and objectives of these companies and searches in their legal life and expiration. The problem of this study has come into force due to the different laws and orders governing the foundation of the companies at the free zones since this leads to constitute a real obstacle to the investment at the free zones. As a result, this study attempts to find solutions to avoid the problem of overlapping among the official departments' responsibility in terms of the foundation of the companies and limit this responsibility to one department. This study depends on the descriptive analytical research method to the rules of Jordanian Companies Law no.22 of 1997 and its amendments and the Law of the Free Zones Corporation no.32 of 1984. The result reached by this study is mainly that the companies registered at the free zones are governed by a double control system exercised by the controller at the companies and the registrar in the free zones corporation. Finally, this study recommends unifying the special rules governing the registration of these companies and making it exclusively of the responsibility of the registrar in the free zones corporation.\
