المستخلص: تمثل الشركة غير الربحية نوعاً جديداً من أنواع الشركات أقره قانون الشركات الكويتي بالمرسوم بقانون رقم 25 لسنة 2012، وكرسه قانون الشركات رقم 1 لسنة 2016، إلا أن هذا التنظيم يثير تساؤلات عدة، ومنها الغاية من تنظيم هذه الشركة ضمن أحكام قانون الشركات طالما أن النشاطات التي تقوم بها يمكن القيام بها من قبل نظم قانونية أخرى كالجمعية؟ وكذلك مدى كفاية الأحكام التي قررها قانون الشركات رقم 1 لسنة 2016 لتنظيم أحكام هذه الشركة.
وبقصد التعرف على النظام القانوني لهذه الشركة والإجابة عن التساؤلات المتقدمة وغيرها، فقد تم اعتماد منهج تحليلي، يشمل بعض أحكام التشريعات والآراء الفقهية المقارنة، كما تم تقسيم البحث إلى ثلاثة مباحث هي التعريف بالشركة غير الربحية وخصائصها، والتمييز بين الشركة غير الربحية وبعض النظم المقاربة لها، وأخيراً تأسيس الشركة غير الربحية.
وانتهى البحث إلى وجود بعض أوجه القصور والنقص في تنظيم المشرع الكويتي لهذا النوع من الشركات، الأمر الذي يستدعي التوصية بتنظيم أكثر تفصيلاً وشمولية إما بمقتضى قانون خاص أو في باب خاص ضمن أحكام قانون الشركات، كما يوصي البحث المشرع بتحديد أغراض الشركة غير الربحية حسماً لكل خلاف يمكن أن يثار، وباعتماد الشركة ذات المسؤولية المحدودة كشكل للشركة غير الربحية، كونه أكثر ملاءمة لنشاط هذه الشركة.


The non-profit company is a new type of company approved by the Kuwaiti Companies Law by Decree-Law No. 25 of 2012, enshrined in the Companies Law No. 1 of 2016. However, this organization raises several questions, including the purpose of regulating this company within the provisions of the Companies Law as long as the activities it undertakes can be carried out by other legal systems such as the association? As well as the adequacy of the provisions established by the Companies Law No. 1 of 2016 to regulate the provisions of this company.
In order to get acquainted with the legal system of this company and answer the advanced questions and others, an analytical approach has been adopted, which includes some provisions of legislation and comparative jurisprudential opinions. The research has been divided into three sections: the definition of the non-profit company and its characteristics, the distinction between the non-profit company and some of the systems close to it, and finally, the establishment of the non-profit company.
The research concluded that there are some imperfections and shortcomings in the Kuwaiti legislature’s regulation of these types of companies, which require a recommendation for a more detailed and comprehensive regulation, either under a special law or in a special chapter within the provisions of the Companies Law. The research also recommends the legislature to define the purposes of the non-profit company to resolve any dispute that may arise, and the adoption of the limited liability company as a form of the non-profit company, as it is more suitable for the activity of this company.
