المستخلص: إن اعتماد الحكامة كآلية للتسيير من طرف المشرع، من شأنه الدفع بشركات المساهمة المغربية إلى الأمام، وهو إجراء يعكس وجود قناعة لدى المهتمين بشأن الشركات مفادها، أن الحكامة أصبحت أداة أساسية لتحسنين أداء شركات المساهمة، علاوة على رفع مستوى التنمية في بلد يتبنى سياسة التوجه نحو اقتصاد السوق، ذلك أن ممارسة الحكامة الرشيدة تضمن نزاهة المعاملات المالية، مما يؤدي إلى تحسن مناخ الأعمال بصفة عامة. إن الحكامة في شركات المساهمة هي ترياق ضد الفساد المالي في هذا المجال، من حيث إنها تضع الحدود بين الحقوق الخاصة والمصالح العامة وتمنع إساءة استخدام السلطة. إن تطبيق مبدأ الحكامة في مجال الشركات بشكل جيد، سيكون له أثر إيجابي على شركات المساهمة بصفة خاصة والمجتمع بصفة عامة، فسيتحسن أداء الشركات بسبب تجنب ما كان يحدث من نهب أو إساءة استعمال أموال الشركة، كما أن الشفافية التي تعتمدها الشركات في نشر وإعلان البيانات المالية المتعلقة بها، سيرفع من سمعتها لدى الشركاء والمتعاملين معها، ويمكنها كذلك من ربط وتقوية العلاقات بين أصحاب المصلحة داخل وخارج الشركة.

L’utilisation de bonne gouvernance comme outil de gestion de la part du législature constitue un élément motivant des sociétés anonymes marocaines, elle représente au même temps ma conviction de touts les intéressés de ce domaine des sociétés que la bonne gouvernance est un élément indispensable pour améliorer la performance des sociétés anonymes en plus de l’amélioration du niveau du développement du pays notamment les pays émergentes qui se reposent sur une économie libérale. La bonne gouvernance au domaine des sociétés anonymes peut améliorer le climat de commerce et des affaires, elle est considérée comme anti corruption financier, elle met des limites entre les droits privés et les intérêts public. Le mettre en oeuvre de la bonne gouvernance aura un impact positif notamment sur les sociétés anonymes et la société en générale, elle aide à éviter "abus des biens sociaux de la société" ainsi que la fiabilité de la société au domaine de la publication des informations participe pour promouvoir la réputation de celle-ci auprès de ses partenaires.

The adoption of governance as a management mechanism by the legislator would push Moroccan shareholding companies forward, a measure that reflects the conviction of those interested in the companies that governance has become an essential tool for improving the performance of joint-stock companies, as well as raising the level of development in a country that adopts a market economy policy. The exercise of good administration ensures the integrity of financial transactions, resulting in an improved business climate in general. Governance in joint-stock companies is an antidote against financial corruption in this area as it sets the boundaries between private rights and public interests and prevents abuse of power. The good application of the principle of governance in the field of companies will have a positive impact on joint-stock companies in particular and society in general. The performance of companies will improve due to the avoidance of looting or misusing the company's funds. The transparency adopted by companies in publishing and publicizing their financial statements will increase their reputation among partners and dealers, as well as enable them to link and strengthen relations between stakeholders within and outside the company.
