المستخلص: أدى بروز شركة الشخص الواحد كنقلة نوعية في منظومة التشريعات التجارية لمواكبة احتياجات السوق ونتيجة التطور الاقتصادي وأنشطة التجارة ولحاجة السوق لظهور العديد من الشركات وزيادة فرصة العمل والقضاء على البطالة، ويعتبر استحداث شركة الشخص الواحد محدودة المسؤولية نقطة تحول لأنها ستشجع العديد من أصحاب الأنشطة الاقتصادية على تأسيس هذه الشركات بشكل سليم قانونا مما يكون له أثر على تحسين الاقتصاد في مؤشرات التنافسية العالمية ومن أجل الحد من الشركات الصورية، وبتطور الأعمال التجارية التي تمارسها الشركات المختلفة ظهرت الحاجة لهذه الشركة، وقد كان للتجارة الإلكترونية ودورها في المشروعات الصغيرة والمتوسطة الأثر في بروز هذه الفكرة رغم عدم وجود تنظيم قانوني مستقل لتوضيح بعض الجوانب القانونية المتعلقة بهذه الشركة، فمن خلال هذه الشركة يتم تحديد مسؤولية الشريك الوحيد في شركة الشخص الواحد بشكل يتوافق بين مسؤوليته التجارية وأمواله الخاصة لتجنب اختلاط ذمته المالية مع الأموال المخصصة للتجارة، فمن الإشكاليات القانونية التي تواجه شركة الشخص الواحد تعارض شركة الشخص الواحد مع مبدأ الذمة المالية الأمر الذي يؤدي إلى ضعف الائتمان فضلا عن انعدام مبدأ العلاقة العقدية في شركة الشخص الواحد، مع ملاحظة اختلاف شركة الشخص الواحد عن باقي الشركات كونها تعد من المستجدات في مجال الشركات وما يتطلبه من العمل على خلق التوازن بين مصلحة الشريك الوحيد ومصلحة الدائنين للشركة، إذ يعد وجود هذه الشركة خطوة لتسهيل مزاولة الأعمال التجارية والتي ظهرت على أثر التطور في الحياة الاقتصادية وضرورة مواكبة التقدم، فشركة الشخص الواحد محدودة المسؤولية تجذب أصحاب المشاريع الصغيرة والمتوسطة وقد تلمس المشرع العراقي لجوء بعض أصحاب الشركات إلى تكوين شركة ذات مسئولية محدودة كسبيل للاستفادة والحصول على الأرباح الضخمة وهي في واقع الأمر شركات وهمية فالشركاء فيها مجرد أسماء لا دور لهم سوى لاستيفاء الشكل القانوني للشركة، فالشريك الأساسي هو الذي يستحوذ على كامل الشركة وظاهريا تحمل معنى الشراكة بينما هي في الحقيقية شركة يديرها شخص واحد تتجسد سلبياتها عندما تحصل خسارة في الشركة فإن أموال صاحب المشروع الخاصة تكون في مأمن مطالبة الدائنين ومن أجل القضاء على صورية هذه الشركات وحماية المتعاملين معها جاء المشرع العراقي بهذه الشركة كحاجة ملحة لمسايرة التطورات التي طرأت على عالم التجارة، لذا فإن هذا التوجه صحيح للقضاء على الشركات الوهمية وتحديد مسؤولية مالك الشركة قبل الغير.
