|a المعلومات التي تتصل بالشركة التي تصدر أوراقها المالية ليست ذي درجة واحدة من الأهمية، منها ما يتصل بالأعمال اليومية والتي لا تؤثر على سعر الأوراق المالية، ومنها ما يتسم كونها معلومات حساسة وجوهرية، وهذا يعني إن للمعلومات تأثير على سوق الأوراق المالية من خلال التأثير على سعر الأوراق المتداولة في الأسواق المالية ارتفاعا أو انخفاضا، واذا كانت المعلومات على هذا النحو تساهم في تحديد اختيارات المستثمرين شراء أو بيعا أو تحديدا للأسعار التي تتم بها العملية، لتحقيق كفاءة السوق ينبغي إلا يستأثر احد المستثمرين في السوق بتلك المعلومات دون غيره بما يمكنه من تحقيق مكاسب نتيجة لحصوله على هذه المعلومات، لذلك يجب على الشركات المصدرة الإفصاح عن المعلومات الجوهرية للجمهور في توقيت واحد.

To achieve market efficiency, an investor should not take an advantage of that information alone in order to achieve gains. Therefore, the issuing companies must disclose sensitive information to the public at one time.
