(BOT) هو النظام الذي يتم بموجبه تمويل المشروعات الاستثمارية العامة، وإنشائها وإدارتها، وصيانتها من قبل القطاع الخاص، الذي قد يكون شركة خاصة واحدة، أو عدة شركات خاصة محلية أو عالمية، تعمل من خلال شركة المشروع، المتعهدة بإنشاء وتنفيذ وإدارة وصيانة المشروع لفترة زمنية معينة هي فترة الامتياز الممنوحة من قبل الدولة المضيفة، وتمكن هذه الفترة شركة المشروع من استرداد ما تكبدته من تكاليف في المشروع، مع تحقيق نسبة مرضية من الربح، بعدها تقوم شركة المشروع بنقل ملكية وصول المشروع للدولة المضيفة، وهو في حالة جيدة دون قيد أو شرط، وتنحصر أطراف نظام (BOT) وفق الدراسة في طرفين أساسيين هما الدولة المضيفة والشركة المنفذة للمشروع، ويمر تنفيذ مشروعات (BOT) بثلاثة مراحل زمنية، المرحلة الأولى هي المرحلة التحضيرية للمشروع من قبل الدولة المضيفة، المرحلة الثانية تختص بها شركة المشروع وهي مرحلة تنفيذ المشروع من حيث بناءه وتشغيله وإدارته، والمرحلة الثالثة التي يتم فيها نقل ملكية المشروع للدولة المضيفة بعد انقضاء فترة الامتياز الممنوحة بين الدولة وشركة المشروع.
(BOT) is a system in which public investment projects are financed, created, managed, and maintained by the private sector, which may be one private company, or several local or international private companies, operating through the project company, which undertakes to establish, implement, manage and maintain the project for a certain period of time. The concession period granted by the host country enables the project company to recover the costs incurred in the project, while achieving a satisfactory percentage of profit. Then the project company transfers ownership of the project access to the host state, in a good condition without any restrictions. According to the study, the parties to the (BOT) system are limited to two main parties: the host country and the company executing the project. The implementation of projects (BOT) passes through three time stages, the first stage is the preparatory stage for the project by the host country, the second stage is for the project company, which is the stage of project implementation in terms of its construction, its operation and management, and the third stage in which the ownership of the project is transferred to the host country after the expiry of the concession period granted between the state and the project company.
