|a تسهم شركات المساهمة بشكل كبير في اقتصادات الدول، وذلك من خلال حصولها على رؤوس أموال كبيرة مما يسمح لها القيام بالمشاريع الاقتصادية الضخمة التي هي الأساس في بناء الاقتصاد المحلي والعالمي، ولحماية الشركات والمحافظة على رؤوس الأموال فإن مبادئ حوكمة الشركات تؤدي دورا مهما في المحافظة على الشركات خاصة الشركات المساهمة، ولأهمية هذا الموضوع فقد تناول هذا البحث حوكمة شركات المساهمة في السوق المالية السعودية. ولتحقيق أهداف هذا البحث فقد تم الأخذ بالمنهج التحليلي، لدراسة ماهية الحوكمة ومبادئها وأهدافها وتطبيقها على الشركات المساهمة السعودية؛ وذلك من أجل تحسين الأداء المالي، وزيادة الثقة في قطاع الشركات المساهمة. وأظهرت نتائج هذا البحث أن مبدأ حوكمة الشركات فرض واقعا جديدا على الشركات المحلية في المملكة العربية السعودية، وذلك لجذب المستثمرين وزيادة الاستثمار فيها. ولقد خلص الباحث إلى أن حوكمة الشركات من أهم المبادئ التي يجب على الشركات تطبيقه؛ لمواجهة حالات الفساد التي تتعرض لها الشركات سواء كانت الشركات عالمية أو محلية عاملة في السوق المالية السعودي. ولقد سعينا لأن يكون هذا البحث نواة الأبحاث قادمة تكمل مسيرة هذا البحث.
|b Joint-stock companies contribute significantly to the economies of countries through obtaining large funds, which allows them to carry out huge economic projects that are the basis for building the local and global economy. Therefore, to protect companies and preserve funds, the principles of corporate governance play an important role in preserving companies particular joint stock companies. Due to the importance of this topic, this research deals with the corporate governance of joint stock. To achieve the objectives of this research, the analytical approach was adopted to study the nature, principles, objectives of corporate governance, and its application to Saudi joint stock companies to increase confidence in the joint stock companies' sector. The results of this research showed that the principle of corporate governance imposed a new reality on local companies and attract investors and increase investment in the Saudi financial market. The researcher concluded that corporate governance is one of the most important principles that companies must apply to confront cases of corruption that exposed to companies in the Saudi financial market. We have sought that this research be the nucleus of future research that complements the course of this research.
