|a تهدف هذه الدراسة إلى تبيان واقع حوكمة الشركات في الجزائر، وذلك من خلال تشخيص الواقع العملي الذي يعكس المعاملات والأحداث الاقتصادية التي تمارسها الشركات في الجزائر. ولغرض الدراسة تم استخدام المنهج الوصفي التحليلي. وتوصلت نتائج الدراسة بأن الحوكمة هي بمثابة نظام مناعة للشركة، والجزائر من بين الدول التي سعت إلى تطبيق الحوكمة من خلال إعدادها لميثاق أو دليل للحوكمة ومركز للحوكمة والذي يعد خطوة جادة في دفع الشركات الجزائرية إلى تبني هذا المفهوم، إلا أن هذه التدابير غير كافية إذ يجب العمل على نشر ثقافة الحوكمة في الشركة في حد ذاتها، والعمل على تفعيلها بقدر الإمكان للوصول إلى صافي مركز مالي حقيقي يقترب على الأقل من صافي المركز المالي الدفتري. وهذا من منطلق أن الشركة هي سفينة جميع الأطراف الداخلية منها والخارجية ذات العلاقة إلى بر الأمان.
|b This study aims to clarify the reality of corporate governance in Algeria, by diagnosing the practical reality that reflects the economic transactions and events practiced by companies in Algeria. For the purpose of the study, the descriptive analytical method was used. The results of the study concluded that governance is an immune system for the company, and Algeria is among the countries that sought to implement governance by preparing a charter or guide for governance and a governance center, which is a serious step in pushing Algerian companies to adopt this concept, but these measures are not sufficient as they must Work to spread the culture of corporate governance in the company itself. And work to activate it as much as possible to reach a real net financial position that is at least close to the net book financial position. This is based on the fact that the company is a ship for all relevant internal and external parties to safety.
