|a تتمحور الفكرة الرئيسة للمقال حول الحديث عن المقتضيات الحمائية التي أحاط بها المشرع المغربي جدول الأعمال في شركة المساهمة من خلال قانون رقم 17.95، لما له من دور فعال باعتباره وثيقة تدرج فيها المواضيع الأساسية التي تكون موضوع مداولة ومناقشة واتخاذ قرارات بشأنها في اجتماع الجمعية العامة الذي وجهت الدعوة لعقده، بحيث يتم إرفاقها مع الاستدعاء الموجه للمساهمين، بغية تحقيق المصلحة المشتركة بين كل من الأقلية والأغلبية داخل الشركة، وهو ما كرسه المشرع بمقتضيات قانونية أمرة تحت لواء النظام العام يسعى من خلالها توفير الضمانات المؤطرة لعمل الجمعية داخل شركة المساهمة ويظهر ذلك من خلال مجموعة من الحقوق والجزاءات المفروضة في حالة مخالفتها التي تم الحديث عنها في هذه المقالة.
|b The main idea of the article revolves around the protective provisions that the Moroccan legislator has surrounded the agenda of the joint stock company through Law No. 17.95, due to its effective role as a document in which the basic topics are included, which are the subject of deliberation, discussion and decision-making regarding them in the general assembly meeting to which the invitation was sent to be held, so that it is attached to the invitation addressed to the shareholders, in order to achieve the common interest between both the minority and the majority within the company. This is what the legislator enshrined through mandatory legal provisions under the banner of public order, through which he seeks to provide the guarantees that frame the work of the assembly within the joint stock company, and this includes through a set of rights and penalties imposed in case of violation, which were discussed in this article.
