المستخلص: حوكمة الشركات تعني الإدارة الرشيدة والسليمة للشركة بالشكل الذي يضمن تطبيق القواعد والقوانين وحماية المساهمين وأصحاب المصالح فيها، فالحوكمة أصبحت شعارا جديدا تتبناه اغلب الدول المتطورة بوصفه جزءا من نظام العولمة كونها تجتذب الاستثمارات الأجنبية والوطنية. والالتزامات التي تقابل تطبيق قواعد الحكومة تقع على عاتق الشركة وتتمثل بالالتزام بالإفصاح عن الأسهم وحالة تعارض المصالح، والإفصاح عن السياسة العامة للشركة والإفصاح عن المعلومات والتقارير المالية والشفافية في إعداد التقارير المالية، والمعلومات والتزامها بشروط محددة واستثناء بعض المعلومات السرية والمؤثرة على الشركة من عرضها، وكذلك التنظيم الرقابي للشركة، وتعزيز قدرتها على إدارة المخاطر وتنعكس هذه الضمانات بصورة إيجابية على المساهمين ودائني الشركة، وأصحاب المصالح الأخرى عبر ضمان حقوقهم الإدارية والاستثمارية، فالإفصاح والشفافية تعتبر المبادئ الأساسية للحوكمة التي توفر الاستقرار والحماية لجميع الأطراف والمتعاملين مع الشركات كونها توفر المعلومات التي يحتاجها المساهمين والمستثمرين والهيئات الرقابية التي تتخذ على أساسها القرارات لأننا في حالة فقدان هذه المبادئ المهمة سنكون أمام معلومات غير صحيحة ومحدودة وتضليل للجمهور والانتهاك الصريح للقانون ويقع على عاتق الإدارة إلى جانب الإفصاح والشفافية معرفة مدى قدرتها على إدارة المخاطر للشركة من أجل مواجهة الأخطار وتقليل أثارها عند وقوعها لتقليل أثارها على الشركة، إلى جانب ضمان وجود رقابة محكمة سواء كانت داخلية أو خارجية ليضمن ويحمي كيانها القانوني والاقتصادي.

Companies governance means the rational management of the company in a way that ensures the application of rules and laws and protects stakeholders. Governance has become a new slogan adopted by most developed countries as part of the globalization system attracting foreign and national investments. The obligations corresponding to the application of the rules of governance fall on the company's shoulders, which are the obligation to disclose shares, case of conflict of interest, disclosure of the company's general policy, disclosure of financial information and reports, and transparency in the preparation of financial reports. Information and its commitment to specific conditions and the exclusion of some confidential information affecting the company from its presentation, as well as the regulatory organization of the company and enhance its ability to manage risks, and these guarantees are reflected positively on company’s shareholders, creditors and other stakeholders by ensuring their administrative and investment rights, disclosure and transparency are the basic principles of governance that provide stability and protection for all parties and dealers with companies as they provide the information needed by shareholders, investors and bodies regulatory on the basis of which decisions are taken because in the event of the loss of such important principles. We will be facing incorrect and limited information misleading the public and make explicit violation of the law, as it is the responsibility of the management, in addition to disclosure and transparency, to know the extent of its ability to manage risks for the company in order to face the risks and reduce their effects when they occur to reduce their effects on the company, as well as ensuring the existence of tight control, whether internal or external, to ensure and protect its legal and economic entity.
