|a يستكشف هذا البحث الإصلاحات والتطورات القانونية التي تم اتخاذها من قبل المنظم في المملكة العربية السعودية فيما يتعلق باندماج الشركات وتحولها وكيفية تنظيم هذه العمليات القانونية بموجب نظام الشركات السعودي الصادر في العام 2022، وتم التركيز على أهمية هذه الإصلاحات التشريعية في تعزيز البيئة القانونية في جذب الأعمال والاستثمارات والعمل على تحفيز التنمية الاقتصادية في المملكة. ويسلط هذا البحث الضوء على المواد ذات الصلة في النظام السعودي التي تنظم اندماج الشركات وتحولها، مع التأكيد على الإجراءات والشروط المطلوبة لتنفيذ هذه العمليات بشكل شفافية وقانونية، كما تم مناقشة الآثار الاقتصادية والقانونية لهذه العمليات على المساهمين والشركات والاقتصاد الوطني. ويتناول هذا البحث أيضا الجهود التي قام بها المشرع السعودي لتنظيم هذه العمليات بشكل متقن ومناسب في نظام الشركات، مع تشجيع المستثمرين والشركات للاستفادة من هذا الإطار القانوني الجديد. ويسلط هذا البحث الضوء على كيفية تحسين بيئة الأعمال في المملكة العربية السعودية من خلال تنظيم تحول الشركات واندماجها، وكيفية تعزيز الاستقرار والنمو الاقتصادي في البلاد.
|b This research explores the legal reforms and developments taken place in the Kingdom of Saudi Arabia regarding corporate mergers and transformations, and how the implementation will take place within the Saudi corporate law issued in 2022, as the emphasis was placed on the importance of these law reforms in enhancing the business environment, attracting investments and stimulating economic development in the Kingdom. This research highlights the relevant articles in the Saudi corporate law that regulate the merger and transformation of companies, and emphasizing on the procedures and conditions required to carry out these operations in a transparent and legal manner, as the economic and legal implications of these operations on shareholders, companies and the national economy were also discussed. This research also addresses the efforts made by the Saudi legislator to regulate these processes in a precise and appropriated manner in the corporate law, encouraging investors and companies to take advantage of this new legal framework. This research also highlights how to improve the business environment in the Kingdom of Saudi Arabia by regulating the transformation and merger of companies, and how to enhance stability and economic growth in the country.
