المستخلص: This article explores the intersection of artificial intelligence (AI) and corporate law in Morocco, emphasizing the potential opportunities and challenges presented by AI's integration into business processes. AI can significantly enhance business operations by automating decision-making, improving efficiency, and optimizing risk management. However, the article highlights the legal and ethical concerns, particularly around liability, transparency, and data protection. It stresses the need for a robust regulatory framework to address the use of AI in corporate governance, ensuring accountability, fairness, and the protection of individual rights. Additionally, it considers the ethical challenges such as algorithmic bias, data privacy, and the impact on employment, proposing measures to mitigate these risks. The study calls for proactive legislation in Morocco to regulate AI and ensure its ethical and responsible use in businesses, while maintaining a balance between innovation and societal protection.

Cet article examine l'intersection entre l'intelligence artificielle (IA) et le droit des sociétés au Maroc, en soulignant les opportunités et les défis liés à l'intégration de l'IA dans les processus d'entreprise. L'IA peut considérablement améliorer les opérations des entreprises en automatisant la prise de décision, en augmentant l'efficacité et en optimisant la gestion des risques. Cependant, l'article met en avant les préoccupations juridiques et éthiques, notamment en ce qui concerne la responsabilité, la transparence et la protection des données. Il souligne la nécessité d'un cadre réglementaire robuste pour encadrer l'utilisation de l'IA dans la gouvernance d'entreprise, garantissant la responsabilité, l'équité et la protection des droits individuels. De plus, il aborde les défis éthiques tels que les biais algorithmiques, la protection des données et l'impact sur l'emploi, en proposant des mesures pour atténuer ces risques. L'étude appelle à une législation proactive au Maroc pour réguler l'IA et garantir son utilisation éthique et responsable dans les entreprises, tout en maintenant un équilibre entre innovation et protection sociétale.
