المستخلص: استهدفت الدراسة توضيح دور حوكمة الشركات لتحقيق الميزة التنافسية، وتعد حوكمة الشركات وسيلة لتعزيز الثقة في اقتصاد أي بلد ومؤشر على مستوى الأداء الذي وصلت إليه المؤسسات، وهذا ما أدى بالمستثمرين للبحث عن الشركات التي تطبق مفهوم الحوكمة، لذلك أصبحت تحتل اهتمام جميع الدول المتقدمة والنامية منها على السواء. فالحوكمة هي نظام متكامل للرقابة المالية والإدارية والذي عن طريقه يتم إدارة الشركة والرقابة عليها، فهي تقوم على قواعد وأسس كفيلة بالكشف عن حالات التلاعب والفساد وضمان الرقابة على الأداء وحق مسائلة الإدارة وتحقيق الشفافية والعدالة بقدر يؤدي إلى كسب ثقة المتعاملين في الأسواق وضمان استقرارها. وأصبح ينظر إلى حوكمة الشركات إلى أنها أحد الحلول المهمة لتحسين الأداء وتحقيق الميزة التنافسية. وقد توصلت الدراسة إلى وجود علاقة ارتباط معنوية إيجابية ذات دلالة إحصائية بين حوكمة الشركات وبين تحقيق الميزة التنافسية، مما يدعم التوصية بضرورة الإسراع والعناية والاهتمام بتطبيق حوكمة الشركات في المنظمات المصرية. فحوكمة الشركات تعد بوابة نجاح لأي مؤسسة تنشد النمو وتحقيق الأهداف، فهي تحقق العدالة والشفافية، والمراقبة والمساءلة المالية والإدارية داخل الشركات وتشجع العمل الجماعي المشترك، والمشاركة في صنع القرار، والاهتمام بالمرؤوسين وتعزيز نموهم، من أجل ضمان تطوير الأداء وتعظيم فائدة المساهمين ومراعاة مصالح الأطراف المختلفة، وتحسين الأداء المالي والإداري.

The study aimed to clarify the role of corporate governance to achieve competitive advantage. Corporate governance is a means of enhancing confidence in the economy of any country and an indicator of the level of performance reached by institutions. This is what led investors to search for companies that apply the concept of governance, and therefore it has become of interest to all developed and developing countries. Either way. Governance is an integrated system of financial and administrative control through which the company is managed and controlled. It is based on rules and foundations that are sufficient to detect cases of manipulation and corruption, ensure oversight of performance, the right to hold management accountable, and achieve transparency and justice to the extent that leads to gaining the confidence of traders in the markets and ensuring their stability. Corporate governance has become seen as one of the important solutions to improve performance and achieve competitive advantage. The study found that there is a positive, statistically significant correlation between corporate governance and achieving competitive advantage, which supports the recommendation of the necessity of accelerating, paying attention to, and implementing corporate governance in Egyptian organizations. Corporate governance is a gateway to success for any organization seeking growth and achieving goals. It achieves justice, transparency, financial and administrative control and accountability within companies, encourages joint teamwork, participation in decision-making, attention to subordinates and enhancing their growth, in order to ensure the development of performance, maximize the benefit of shareholders, and take into account the interests of various parties. And improving financial and administrative performance.
