المستخلص: يعاني النظام القانوني لشركة التوصية بالأسهم في قانون الشركات الأردني من العديد من أوجه القصور والضعف، الأمر الذي أدى إلى تراجع تأسيس تلك الشركة وضعف الإقبال عليها بحيث أصبحت موجودة فقط نظريا، وليس على أرض الواقع. بناء عليه، فإن هذه الدراسة تهدف إلى الوقوف على أسباب تعثر هذا النوع من الشركات سواء ما تعلق منها بالتأسيس أو الإدارة أو المركز القانوني للشركاء. كما تهدف هذه الدراسة إلى تحديد ما الذي يجب أن يكون عليه القانون من أجل جذب المستثمرين إلى هذه الشركة، وإرساء التوازن بين مصالح جميع الشركاء فيها. وقد تم تقسيم هذه الدراسة إلى مبحثين رئيسيين وخاتمة. أما المبحث الأول فيتعلق بتأسيس شركة التوصية بالأسهم، والمبحث الثاني خاص بإدارتها والرقابة عليها، في حين أن الخاتمة تنصب على أبرز النتائج والتوصيات التي تم التوصل إليها في الدراسة.

The legal system of the limited partnership by shares under the Jordanian Corporate Law suffers from many aspects of weakness which leads to a considerable decline in the establishment of such a company to the extent that it only exists in theory rather than in practice. Therefore, this study aims to explore the underlying reasons for the failure of the limited partnership by shares especially those pertaining to the legal position of partners, the establishment, and administration of this company. Furthermore, this study determines what the law ought to be in order to attract investors to this company and strike a balance between the different interests of the partners involved. As such, this study is divided into two main sections and a conclusion. The first section deals with the establishment of limited partnership by shares, while the second section sheds light on the administration of this company and the legal control on its actions. Finally, the conclusion focuses on the main results and recommendations
