المستخلص: مع الانفتاح الاقتصادي وعولمة الأسواق تسعى الشركات إلى رفع تنافسيتها من خلال توسيع أنشطتها وتنويعها ولا يمكن ذلك إلا من خلال مصادر للتمويل دائمة، ومنه فالشركة مطالبة برفع شفافيتها وتحقيق أهداف الممولين لها وكافة المتعاملين معها لإثبات مصداقيتها ويتم ذلك بإتباع مبادئ حوكمة الشركات التي تهدف إلى تحقيق أهداف كل من له مصلحة في نشاط الشركة ضمانا لبقائها واستمراريتها، ولتجنب الوقوع في الأزمات خاصة الناجمة عن نقص الثقة والمصداقية في المعاملات، إلا أنه من الصعب حصر كل النظريات والمفاهيم المتعلقة بحوكمة الشركات السائدة حاليا، ويرجع ذلك لتشعبها وتأثيرها على كل المجالات الاقتصادية والاجتماعية وحق السياسية والقانونية، وتعتبر مبادئ منشة التعاون الاقتصادي والتنمية من أهم المساعي الأخلاقية التي ينبغي تحقيقها، خاصة في بيئة الأعمال الناشئة كاقتصادنا الوطني، وغيره من الاقتصاديات العربية. وسنحاول في هذا المقال التطرق لأهمها، وكيفية تجنب الوقوع في الأزمات من خلال تفعيل آليات الحوكمة.

During the economic openness and the globalization of the markets, the companies seek to increase their competitiveness by expanding their activities and diversifying them. This can only be done through the permanent sources of finance. Therefore, the company is required to raise its transparency and achieve the objectives of its financiers and all its clients to prove its credibility. This is done by following the principles of corporate governance that aim to achieve the objectives of all those who have an interest in the activity of the company to ensure its survival and continuity, and to avoid falling into crisis, especially due to lack of the confidence and the credibility in transactions. It is difficult to enumerate all the theories and concepts related to the prevailing corporate governance now. This is due to their ramifications and impact on all the economic and the social fields, as well as the political and the legal right. The principles of the economic cooperation organization and development is considered the most important ethical endeavors that should be achieved, especially in the emerging business environment such as our national economy, and other Arab economies. In this article, we will try to address the most important issues and how to avoid falling into the crisis through the activation of the governance mechanisms.
