|a يخضع رأس مال الشركة لمبدأ الثبات، إذ لا يجوز المساس به سواء بزيادته أو تخفيضه إلا باتباع إجراءات خاصة نص عليها المشرع لحماية الغير. حيث يعتبر قرار تخفيض رأس مال الشركة من أخطر القرارات الماسة بالضمان العام المخصص للغير، ويؤدي إعماله إلى المساس بمبدأ ثبات رأس مال الشركة. لذلك قرر المشرع مجموعة من الآليات القانونية الكفيلة بحماية مصالح الغير، تتمثل أهمها في دعوى المعارضة على مشروع قرار تخفيض رأس المال وكذا دعوى عدم نفاذ التصرف.
