|a لقد حازت الحكومة والمسؤولية الاجتماعية على اهتمام العديد من الباحثين وذلك لكونهما تساهمان بطريقة مباشرة في دعم التنمية الاقتصادية والاجتماعية. ولم تعد تقتصر مهمة حكومة الشركات على حماية مصالح أصحاب الشركات وتحقيق أكبر ثروة ممكنة لهم فقط، بل تطورت هذه الفكرة وتبلورت لينتج عنها أهمية حماية مصالح مختلف أصحاب المصالح الذين تربطهم علاقات بالمؤسسة أي علاقات مع المحيط الداخلي والخارجي لها، ولذلك اعتبرت المسؤولية الاجتماعية كركيزة أساسية لتحقيق حكومة الشركات فهي تسهر وتسعة إلى إعطاء كل ذي حق حقه من خلال مسؤوليتها الاجتماعية. إذن تنبع أهمية هذا البحث في كشف النقاب على طبيعة الأساليب الإدارية والتنظيمية المنتهجة في تسيير الشركات، لإظهار مدى تماشيها مع المعايير الدولية للحكومة، مما يساعد على إعادة النظر في وضع اللوائح التنظيمية المناسبة حسب وضعية كل مؤسسة، الأمر الذي يجعلها أكثر مرونة وفاعلية في أداء نشاطاتها.

|b Both governance and the social responsibility have won the interest of many researchers thanks to their contribution in straightforward manner in backing up the economic and social growth. The mission of corporation governance is no longer confined only to the protection of companies owners’ interests and achieving the largest possible fortune for them but also the conception has been developed and crystallized to an outcome that is based on the importance of protecting the interests of different Stakeholders who have connections with the company on both the Inner and outer perimeter of it. On this basis, The social responsibility was considered as an essential pillar to accomplish corporation governance that Ensures and seeks to grant each their right through it. Thus, the upstream of the paramount of this research comes to unveil the nature of the administrative and organizational methods followed in the conduct and management of companies to reveal the extent of consistency with the International Standards for government. The latter will help the one to re- consider the development of appropriate regulations according to the status of each institution, which makes it more flexible and effective in the performance of its activities.
