المستخلص: Today, the company is the most important instrument contributing to economic development. Economic life has become based on the activity of commercial companies of different types and sizes. However, the company, as a legal person who cannot exercise his operation on his own, had to be assisted by natural persons who represent him and express his will, they are the managers. However, with the development of economic life in all its aspects, especially projects, economic groupings and commercial companies and their complexity, it became impossible for the manager to carry out all his business alone and manage all the company's affairs. Thus, emerged the idea of mandating of authority as a means of organizing and removing pressure from the manager, in order to ease the burden placed on him for a period of time, so that the mandated person has the powers to act and take appropriate decisions on a specific matter. However, this raises many problems as to who is responsible in the event that the latter makes a mistake in the company within the framework of the authorization, and to consider the authorisation as a pretext for renouncing responsibility rather than as a means of dividing the duties and completing the company operation quickly although it requires conditions in order to be a reason for exempting the manager from criminal liability.

La société est à l’heure actuelle l’outil le plus important qui contribue au développement économique basé sur l’activité des sociétés commerciale, cette dernière en tant que personne morale, il est indispensable d’utiliser des représentants qui sont les gérants d’autre part ce gérant est devenu incapable de réaliser toutes les tâches que sont lui confiés d’où la nécessité de la délégation en tant que moyen d’organiser et d’enlever la pression sur le gérant.
La délégation a donnée aux personnes spécifiques des pouvoirs d’agir et de prendre des décisions appropriées, par contre cela révèle de nombreux dilemmes ; qui porte la responsabilité lors d’une erreur commise dans le cadre de la délégation. Et portant que la délégation est principalement faite pour que la responsabilité soit partagée entre le gérant et les mandataires ; ces derniers ont couru à répudier la responsabilité pénale en cas d’échec vu l’absence de législations.

تعتبر الشركة في وقتنا الراهن أهم أداة تساهم في التطور الاقتصادي، إذ أن الحياة الاقتصادية باتت ترتكز على نشاط الشركات التجارية باختلاف أنواعها وأحجامها، إلا أن الشركة وباعتبارها شخص معنوي لا يستطيع ممارسة نشاطه بنفسه، كان لا بد من الاستعانة بأشخاص طبيعيين يقومون بتمثيله والتعبير عن إرادته، هم المسيرون، لكن مع تطور الحياة الاقتصادية في كل جوانبها وخصوصا المشاريع والتجمعات الاقتصادية والشركات التجارية وتشعبها، أصبح من المستحيل على المسير القيام بجميع أعماله بمفرده وتسيير كافة شؤون الشركة، فظهرت فكرة تفويض السلطة كوسيلة للتنظيم ولرفع الضغط عن المسير، وذلك من أجل تخفيف الأعباء الملقاة عليه لفترة زمنية، بحيث يصبح للمفوض له صلاحيات التصرف واتخاذ القرارات المناسبة في شأن محدد ومعين، إلا أن هذا يثير العديد من الإشكالات حول على من تقوم المسؤولية في حال ارتكاب هذا الأخير لخطأ في الشركة في إطار التفويض، وحول اعتبار المسيرين التفويض كحجة للتنصل من المسؤولية بدلا من اعتباره كوسيلة لتقسيم المهام وسرعة في إتمام إعمال الشركة، على الرغم من أنه يستلزم توافر شروط لكي يكون سببا في إعفاء المسير من المسؤولية الجزائية.
