المستخلص: نظام البناء والتشغيل ثم نقل الملكية، هو ذلك النوع من المشاريع التي تعهد بها الدولة إلى إحدى الشركات الوطنية أو الأجنبية لإنشاء مرفق عام وتشغيله لحسابها مدة من الزمن ثم بعد ذلك يتم تحويل الملكية إلى الدولة مرة أخرى، وجرى العرف على تسمية الشركة التي تنفذ هذا النوع من المشاريع بـ (شركة المشروع)، ونظرا لضخامة المشاريع المنفذة بهذا النظام وتعدد أغراضها، فإن الشركة غاليا ما تلجأ إلى الاقتراض من البنوك ولمدة زمنية طويلة، ونظرا لدقة العلاقة بين شركة المشروع والبنك الممول لها، ولأن أغلب عقود تمويل المشاريع المنفذة بهذا النظام لا تتضمن توضيحا كاملا للعديد من الجوانب القانونية رغم أهميتها والتي تؤدي إلى خلل في العلاقة بين شركة المشروع والبنك الممول، لذا فقد تم من خلال هذه الدراسة تحليل أهم تشعبات العلاقة بين الطرفين، ومن ثم بيان جوانب عدم التوازن فيها والتي تؤثر على المركز القانوني لكل منهما تجاه الآخر، حيث تبين لنا أن أهمها هي تلك الناشئة عن المخاطر التي تفرضها طبيعة المشاريع المنفذة بهذا النظام، وأهمها ما يتعلق بالشكل القانوني لشركة المشروع، وضرورة تعدد البنوك المشتركة بالتمويل، والضمانات المقدمة للتمويل، وآلية إدارة الحسابات المخصصة للتمويل، وقد تم وضع بعض الأسس القانونية لها والتي يمكن أ، تساعد على تحقيق نوع من التكافؤ بين التزامات شركة المشروع والتزامات البنك الممول وأن يتم الاتفاق عليها وتوضيحها في عقد التمويل المبرم بين الطرفين.

The Legal Equilibrium in the Relationship Between Undertaking Firm and the financing Bank Under Building- Operating and Transfer (B.O.T) System. The building, operating and transfer system is one in which a state would assign to a national or foreign firm public utility project, which would operate it to its benefit for a specific period of time, after which property transfer is restored to the state again. Customarily, the firm carrying out such kind of projects is termed as "undertaking form". Considering voluminous and multi- purpose projects carried out under this system, the undertaking firm would, in most cases, resort to long- term bank loans. As the relationship between the undertaking firm and the financing bank is very critical, and given that most lending contracts to finance projects carried out under this system, despite important, are legally ill defined, and this disturbs the relationship between the undertaking firm and the financing bank. This study analyzes major details of the relationship between both parties, and demonstrates aspects of disturbance which have an impact on the legal position of both parties against each other. It is found that the significant disturbance aspect is that caused by risks related to the nature of the project undertaken under such system, most significant ones are the legal entity of the undertaking firm, multilateral financing banks, guarantees submitted in return for the loan, and how the financing accounts be managed. Such legal basics were proposed which might be helpful in reaching an even point between obligation assumed by the undertaking firm and the financing bank, which is necessary to be mutually agreed upon, and explicitly stipulated in the financing contract concluded by the two parties. \
