المستخلص: The account representative is an independent oversight body charged with monitoring the company’s accounts, financial status, and compliance with the legal provision and regulations and the basic law of the company. The task of appointing the accounts representative is the prerogative of the Ordinary General Assembly. However, in contradiction to the principle of parallelism, his dismissal is made by a judicial authority at the request of persons legally qualified for this. The removal is carried out under certain conditions and procedures to make this dismissal effective.

يعد مندوب الحسابات هيئة رقابية مستقلة مكلفة بمراقبة حسابات الشركة ووضعيتها المالية ومدى مطابقتها مع النصوص القانونية والأنظمة وكذلك القانون الأساسي للشركة، وإن مهمة تعيين مندوب الحسابات هي من اختصاص الجمعية العامة العادية، إلا انه ومخالفتا لمبدأ توازي الاشكال فإن عزله يكون من طرف جهة قضائية، وذلك بناءا على طلب اشخاص مؤهلين لهذا قانونا، ويتم العزل وفقا لشروط وإجراءات معينة وذلك من أجل جعل هذا العزل ساري المفعول.
