|a تسعي الدراسة إلي إبراز أهمية شرط الموافقة في حالة إحالة حصص الشريك لشخص أجنبي عن الشركة ذات المسئولية المحدودة الذي يعد موضوعا جديرا بالبحث نظرا لارتباطه بمصلحة الشركة وكل المصالح الأخرى والتي قد تتعارض معها، علي أساس أنه وإن كان للشريك مغادرة الشخص المعنوي حتي لا يظل حبيس حصصه، إلا أنه يتوجب عليه مع ذلك الحصول علي موافقة الشركاء الآخرين، علما أنه وإن قام المشرع بتنظيم مسألة الإحالة إلا أن هنالك مع ذلك بعض النقائص أو الثغرات القانونية التي من الواجب تداركها وإيجاد حلول مناسبة لها.

|b The study seeks to highlight the importance of the approval clause in the event of transferring the partner's shares to a foreign person from limited liability company, which is a topic worthy of research due to its connection with the interest of the company and all other interests that may conflict with it, on the basis that even if the partner has to leave the legal person so that he does not remain confined to his shares, but he must nevertheless obtain the consent of the other partners. Note that although the legislator has organized the issue of transfer, there are nevertheless some legal shortcomings or loopholes that must be remedied and appropriate solutions found.
