|a لما كانت للشركات بمختلف أنواعها مالكون ومساهمون ومستهلكون وعملاء وموردون وعاملون وكان لابد من وجود تنظيم قانوني يحفظ لهؤلاء مصالحهم وحقوقهم لهذا فتعتبر الحوكمة آلية وتنظيما سليما لممارسة القائمين على إدارة الشركة حفظ حقوق الأطراف كافة سواء كانوا ملاكا أو مساهمين أو موردين أو عاملين أو مستفيدين أو مستهلكين، فمن أبرز أهداف نظام حوكمة الشركات هو توثيق الصلة والتلازم والتكامل بين هذه الأطراف وعمل تنظيم وسياسات وأساليب لهذه الشركات لتحقيق أهدافهم وخدمة مصالح جميع الأطراف، وجوهر عمل حوكمة الشركات يتمثل في تكوين منظومة تساعد مديري الشركات ممن تم الوثوق بهم وإعطاؤهم الصلاحيات والمسؤوليات كواجب في إدارة هذه الشركات، وهذه المنظومة وثيقة الصلة بالقيم والأخلاق والاتجاهات والسلوك المستقيم للمديرين في إدارة الشركة المسؤولين عن إدارتها.

The most prominent objectives of the corporate governance system is to document the link, coherence and integration between these parties and the work of organization, policies and methods for these companies to achieve their goals and serve the interests of all parties. This system is closely related to the values, ethics, attitudes and straight behavior of managers in the management of the company who are responsible for its management.
