المستخلص: هدفت الدراسة إلى بناء تصور مقترح لحوكمة مجالس الأمناء للجامعات الأهلية السعودية في ضوء الخبرات العالمية، من خلال الكشف عن واقع تطبيق مجالس الأمناء للحوكمة، ومعرفة التحديات التي تواجه مجالس الأمناء في تطبيق الحوكمة، وتحديد المتطلبات اللازمة لتطبيق حوكمة مجالس الأمناء للجامعات الأهلية السعودية، وتحليل أبرز الخبرات العالمية التي يمكن الاستفادة منها لتطبيق نموذج حوكمة مجالس الأمناء، والتي تمثلت في خبرة جامعات (ستانفورد؛ ييل؛ أكسفورد؛ وألبرتا). ولتحقيق أهداف الدراسة، تم استخدام المنهج الوصفي بأسلوبيه المسحي والوثائقي، حيث تكون مجتمع الدراسة الأول من (١١٥) قائدا بالجامعات الأهلية استجاب منهم (۹۲) قائدا على أداة الاستبانة، كما تكون مجتمع الدراسة الثاني من (٥٩) عضوا من أعضاء مجالس الأمناء للجامعات الأهلية، تمت مقابلة (۲۱) منهم، للكشف عن متطلبات تطبيق حوكمة مجالس الأمناء للجامعات الأهلية السعودية. وكانت أبرز النتائج، أن واقع تطبيق مجالس الأمناء للحوكمة كان بدرجة متوسطة لأبعادها الحوكمة المالية مراقبة السياسات الإدارية، الشفافية والسلوك الأخلاقي، التشريعات والقوانين والأنظمة، حيث تراوحت متوسطاتها من (٢,٦٣٩-٢,٦١). كما حصلت التحديات التي تواجه مجالس الأمناء في تطبيق الحوكمة في الجامعات الأهلية على درجة عالية من وجهة نظر أفراد عينة الدراسة، وهي التحديات البشرية، التنظيمية والتشريعية الإدارية المادية والتقنية. كما كشفت نتائج تحليل المقابلات أن المتطلبات اللازمة لتطبيق حوكمة المجالس، تتمثل في المتطلبات التنظيمية والتشريعية، والتي من أبرزها إعداد تقارير ومراجعات دورية للأداء من قبل هيئات مستقلة، في حين أن المتطلبات الإدارية كان أبرزها نشر البيانات والقرارات والمعلومات بشفافية ووضوح، والمتطلبات البشرية تمثلت في تنوع خبرات وكفاءات الأعضاء، والمتطلبات التقنية والمادية تمثلت في تبني استراتيجية رقمية تدعم أهداف الجامعة وتتناسب مع مراحل تطبيق حوكمة المجلس. وبناء على ما أسفرت عنه نتائج الدراسة تم وضع التصور المقترح، والذي تكون من فلسفة بناء التصور المقترح وأهدافه ومبرراته ومنطلقاته ومراحله ومقوماته والصعوبات المتوقعة والحلول، وأبرز التوصيات لتطبيق التصور المقترح والاستفادة من الآليات المقترحة وتوفير المتطلبات اللازمة لتطبيق حوكمة مجالس الأمناء.

The study aimed to create a scenario for the governance of the boards of trustees at Saudi private universities in light of international experiences, by revealing the status of applying governance by the boards of trustees, knowing the challenges facing the boards of trustees in applying governance, determining the necessary requirements for applying this governance, and analyzing the most prominent global experiences that can be benefited from, based on the experience of universities like Stanford, Yale, Oxford, and Alberta. To achieve the study objectives, the descriptive method was used through the survey and documentary approaches. The first study population consisted of (115) leaders at private universities, of whom (92) leaders responded to a questionnaire. The second study population consisted of (59) members of the board of trustees at private universities, of whom (21) were interviewed to reveal the requirements for applying governance by the boards of trustees at Saudi private universities. The most prominent results were the following: - The status of the boards of trustees’ application of governance was moderate for the financial governance, monitoring administrative policies, transparency and ethical behavior, legislation, laws and regulations, and their averages ranged from (2.639-2.61).- The challenges facing the boards of trustees in applying governance at the Saudi private universities were high as reported by the respondents, including the human, organizational, legislative, administrative, material and technology challenges.- The results of the interview analysis revealed the necessary requirements for implementing governance by the boards of trustees of the Saudi private universities, which were represented by the regulatory and legislative requirements, most notably preparing periodic reports and reviews of the performance of the board of trustees by independent bodies, and the administrative requirements, most notably publishing data, decisions, and information with transparency and clarity, and the human requirements, most notably the diverse experiences and competencies of the members of the board of trustees, and the technical and material requirements, most notably adopting a digital strategy that supports the university goals and is compatible with the stages of implementing governance by the board of trustees.- Based on the study results, a scenario was developed, which consisted of setting the objectives, justifications, starting points, stages, components, expected difficulties, and solutions. The most prominent recommendations included implementing the scenario benefiting from the proposed mechanisms, and providing the necessary requirements for implementing governance by the boards of trustees.
