المستخلص: تناول البحث أبرز إشكاليات شركة الشخص الواحد التي استحدثها القرار بقانون رقم 42 لسنة 2021، حيث تضمن البحث ماهية شركة الشخص الواحد والأسس التي تقوم عليها وتشكيلها، ووفاة الشريك فيها وأثر ذلك على استمرار الشركة وعلى تركة صاحبها وحقوق الدائنين. ناقش البحث مفهوم شركة الشخص الواحد والأسس التي تقوم عليها وطريقة تشكيلها بشكل مباشر وغير مباشر ومن حيث تشكيلها من شخص طبيعي أو معنوي ومن حيث تشكيل أكثر من شركة شخص واحد لذات الشخص، إضافة إلى علاقة تركة صاحب الشركة بأموال الشركة حال وفاته، وأثره على دائني الشركة ودائني صاحب الشركة. اشتمل البحث على تحليل للأساس الذي تقوم عليه شركة الشخص الواحد من حيث تجزئة الذمة المالية ووحدتها، ومدى إخضاع تركة صاحب الشركة للقواعد العامة الناظمة للتركة والشركات والأسس التي تقوم عليها وذلك لبيان المركز القانوني للشركة ولورثة صاحبها ولدائني الشركة ودائني صاحبها.

This research is tackling the most important problems and the legal consequences associated with the “one-person company” introduced by the Palestinian Decree Law No. 42 of 2021. In this regard, the research included the nature of the one-person company, the foundations on which it is based and its formation, the decease of the partner in it, its impact on the continuation of the company, the legacy of its owner, and the rights of creditors. The research discussed the concept of a one-person company, the foundations on which it is based, the method of its formation, the terms of its formation from a natural or legal person, and in terms of forming more than one-person company for the same person. In addition, the research deals with the relationship of the company’s owner’s legacy with the company’s funds in the event of his decease, the impact of this situation on the company’s creditors, and the credits of the owner of the company. The research included an analysis of the basis on which the one-person company is based in terms of the division of the financial liability and its unity, and the extent to which the company’s owner’s legacy is subject to the general rules governing the inheritance and the foundations on which it is based, in order to clarify the legal status of the company, the heirs of its owner, the creditors of the company, and the creditors of its owner.
