المستخلص: يعد ظهور الشركة ذات المسؤولية المحدودة المملوكة لشخص واحد اتجاها حديثا تبناه نظام الشركات السعودي، ارتبط بالخروج عن الفكرة التقليدية للشركة القائمة على العقد الذي يقتضي تعدد الشركاء؛ مما يكسب هذه الشركة خصوصية في مفهومها وتكوينها. والمنظم السعودي لم يفرد هذه الشركة بتنظيم خاص؛ مريدا بقاءها بحكم الأصل خاضعة لأحكام الشركات عموما ولأحكام الشركة ذات المسؤولية المحدودة (متعددة الشركاء) خصوصا مع مراعاة ما يناسب خصوصيتها. سعى البحث لاستجلاء الخصوصية في مفهوم هذه الشركة، وتكوينها، واستظهار الصعوبات الناشئة عن هذه الخصوصية، وإشكاليات تطبيق الأحكام العامة عليها، وتقدير مدى مناسبة وكفاية هذه الأحكام لها. توصل البحث إلى أبرز مظاهر خصوصية هذه الشركة في المفهوم، وفي الأركان الموضوعية العامة، وفي الأركان الموضوعية الخاصة، وتوصل إلى أن هذه الخصوصية ينشأ عنها صعوبات عملية عند تطبيق الأحكام العامة على هذه الشركة، مما يدعو إلى القول بعدم كفايتها ومناسبتها لوضع هذه الشركة الخاص، وأوصى البحث بإصدار تنظيم خاص لها يتضمن قواعد حديثة مبتكرة، تناسب خصوصية هذه الشركة الحديثة المبتكرة.

The appearance of a limited liability company possessed by one person is a modern trend adopted by the Saudi companies’ law, related to leave the traditional idea of a company based on a contract that requires multiple partners; which gives this company a specificity in its concept and formation. The Saudi regulator did not identify this company with a special regulation; wishing it to remain, by virtue of the principle, subject to the provisions of companies in general and the provisions of the limited liability company (multiple shareholders) in particular, taking into consideration to suit its specificity. The research discussed the specificity in the definition of this company, its formation, and to indicate the difficulties arising from this specificity, and the problems of applying general provisions, and to estimate the degree of the suitability and sufficiency of these provisions. The research concluded the most prominent aspects of the privacy of this company in the concept, in the general objective pillars, and in the special objective pillars, as well as it concluded that this privacy creates practical difficulties at the application of the general provisions to this company, which calls for saying that it is not sufficient and appropriate for the special status of this company, also the research recommended issuing a special regulation for it that includes modern, innovative rules that suit the privacy of this modern, innovative company.
