يهدف هذا البحث إلى بيان العلاقة القانونية للشركة القابضة مع الشركات التابعة لها في ضوء أحكام قانون الشركات الأردني رقم27 لسنة 1997 وتعديلاته. ولتحقيق هدف هذه الدراسة قام الباحث بمعالجة هذا موضوع من خلال أربعة مباحث حيث تناولنا في المبحث الأول طبيعة الشركة القابضة وأوجه التفرقة عما يشتبه بها من مفاهيم، وذلك من خلال بيان ماهية الشركة القابضة كمطلب أول وبيان أوجه التفرقة بين الشركة القابضة وما يشتبه بها من مفاهيم وتناولنا في المبحث الثاني وسائل سيطرة الشركة القابضة على الشركات التابعة لها، وذلك من خلال السيطرة الإدارية كمطلب أول والسيطرة المالية كمطلب ثاني والسيطرة بطريق الاندماج كمطلب ثالث، أما المبحث الثالث فقد تناول مسؤولية الشركة القابضة تجاه الشركات التابعة لها، حيث تناول المطلب الأول بيان مسؤولية الشركة القابضة بصفتها مديرا للشركة التابعة، فيما خُصص المطلب الثاني لبيان مسؤولية الشركة القابضة عن ديون الشركة التابعة لها، ثم خلصت الدراسة إلى أهم النتائج والتوصيات التي توصل إليها الباحث.
This research aims to the statement of the legal relationship of the holding company with subsidiaries in the light of the provisions of the Jordanian Companies Law No.27 of 1997, as amended. To achieve the objective of this study, the researcher to address this issue through the four topics where we dealt within the first section the nature of the holding company and aspects of segregation than suspected by the concepts, through a statement of what the holding company as a requirement the first statement of the distinction between the holding company and suspected the mofconcepts and dealt within the second section and means of control of the holding company for its subsidiaries, and through administrative control as a requirement first and financial control as a requirement second and control the path of integration as a requirement the third, and the third section has dealt with the responsibility of the holding company to its subsidiaries, where he addressed the first requirement statement the responsibility of the Holding Companyas a directorof the subsidiary, while second requirement was devoted to a statement the responsibility of the holding company for the debts of its subsidiary, and then study concluded the most important findings and recommendations reached by there searcher.
