|f In recent years in Kuwait, real estate sales contracts have increased in accordance with the inseparable agency contract . This is due to the ease of dealing related to it, which led to the widespread dealing with the dealers because it includes shortening the time that it takes to conclude the contract of sale with the Department of Real Estate Registration as well as the availability of this type of contracts of the ease of dealing in which the buyer is willing,, he does not need to have the seller then to complete his procedures. The buyer under this non-insurmountable agency can carry out all the procedures of sale, which are authenticated individually, based on this power of attorney. However, on the horizon we have problems generally related to the inseparable proxy, but the main problem in this context lies in the legal nature of the inseparable agency contract , that is because the determination of the legal nature would identify the validity of the irrevocable contract of the Agency through the extension of the Court's authority to adapt to ascertain the availability or unavailability of the elements of such conduct, The determination of this legal nature would also define the obligations of the parties of the contract in a specific manner and determine the consequences arising from the consideration of the contract as a sale or another contract, as well as mentioning the validity of the conduct for which the agency was issued. Therefore, this study includes the jurisprudential trends that dealt with determining the legal nature of the inseparable agency. It also included the directions of the Kuwaiti Court of Cassation in determining the legal nature of this contract, and then the availability of the legal elements of the acts that hide behind the irrevocable agency contract. |a زادت في السنوات الأخيرة في دولة الكويت عقود بيع العقارات بموجب عقد الوكالة غير القابلة للعزل، ويأتي ذلك بسبب سهولة التعامل المرتبط بها الأمر الذي أدى إلى شيوع التعامل بها بين المتعاملين لما تتضمنه من اختصار للوقت الذي تستغرقه إجراءات إبرام عقد البيع لدى إدارة التسجيل العقاري، فضلاً عما يوفره هذا النوع من العقود من سهولة في التعامل تجعل المشتري راغباً فيها، فهو لا يحتاج إلى وجود البائع بعد ذلك لاستكمال إجراءاته، فالمشتري بموجب هذه الوكالة غير القابلة للعزل يستطيع القيام بكافة إجراءات البيع الموثق منفردا استناداً إلى هذا التوكيل. \nإلا أنه لاحت لنا في الأفق مشكلات متعلقة بشكل عام بالوكالة غير القابلة للعزل، بيد أن المشكلة الرئيسية في هذا الإطار تكمن في بيان الطبيعة القانونية لعقد الوكالة غير القابلة للعزل، وذلك لأن تحديد الطبيعة القانونية من شأنه تحديد مدى صحة عقد الوكالة غير القابلة للعزل من خلال بسط المحكمة لسلطتها في التكييف لتتأكد من توافر أو عدم توافر أركان هذا التصرف، كما أن تحديد هذه الطبيعة القانونية من شأنه أيضاً تحديد التزامات طرفي العقد على نحو محدد، وتحديد الآثار الناشئة عن اعتبار هذا العقد بيعاً أم عقداً آخر، فضلاً عن بيان صحة التصرف الذي من أجله صدرت هذه الوكالة. \nلذلك تضمن هذا البحث الاتجاهات الفقهية التي تناولت تحديد الطبيعة القانونية للوكالة غير القابلة للعزل، كما تضمن أيضاً اتجاهات محكمة التمييز الكويتية في تحديد الطبيعة القانونية لهذا العقد، ثم بينت مدى توافر الأركان القانونية للتصرفات الني تتستر خلف عقد الوكالة غير القابلة للعزل، لتنتهي أخيراً إلى تحديد وجهة نظرنا في شأن الطبيعة القانونية لهذا العقد. \n
