|a بالنظر لما أصبحت تتميز به من طابع مؤسساتي، فإن اتفاقات المساهمين هي اتفاقات تهدف إلى تنظيم ممارسة المساهمين لحقوقهم داخل شركة المساهمة، ويشترط لصحتها نوعين من الشروط أولها عامة وتتعلق بالشروط العامة لصحة العقود، والثانية خاصة وتتعلق بضرورة مراعاتها للمبادئ التي تقوم عليها شركات المساهمة، ولا سيما مراعاة مصلحة هذه الأخيرة. \nوتختلف مواضيع ومضمون هذه الاتفاقات باختلاف حقوق المساهمين في الشركة من تسيير وتوجيه ورقابة، سواء تعلقت بالحقوق المالية للمساهم أو الحقوق السياسية له وأساسا الحق في التصويت. \nوحتى لا تستعمل هذه الاتفاقات - والتي تعتبر موازية للقانون الأساسي للشركة- للإضرار بالشركة لا سيما من طرف الأغلبية و الأقلية فإنها تخضع في صحتها و جوازها لرقابة القضاء الذي يبقى هو الفاصل في هذا الأمر باجتهاده لا غير، وهو ما يؤدي إلى ضرورة تنظيم ذلك تشريعيا حفاظا على مصلحة الشركاء و الشركة على السواء.

|d Les conventions entre actionnaires ou les les pactes d'actionnaires ce sont des contrats visent à réglementer les droits des actionnaires d'une société par actions, et son objet varie selon le type de droits auxquels ils se rapportent, si les droits financiers, ou le droit de contrôler, les droits de gestion et les droits politiques tels que le droit de vote. \nEt est nécessaire pour la validité du convention la présence des conditions du contrat et quelle ne contredisent pas avec le statu fondamental de la société d'une part, et le respect des principes de la société par action et l’intérêt sociale de la société d’une autre part . \nla légitimité des pactes d’actionnaires et toujours l’objet de la jurisprudence, car les lois des différents pays n'a pas mis une réglementation complète, et y compris le législateur algérien, que nous appelons à l'organisation de ces conventions , car ces accords et un moyen d'atténuer le caractère institutionnel des société par action, et d’encourager l’investissement.

|f Due to their institutional character, shareholders' agreements are agreements aimed at regulating the shareholders' exercise of their rights within a shareholding company. The first is general and relates to the general conditions of validity of contracts, whilst the second is specific and relates to the necessity of observing the principles that the joint-stock companies are established upon, especially taking into account the interest of the latter. \nThe subject matter and content of these agreements vary depending on the shareholders' rights in the company, from management, direction and control, whether they relate to the shareholder's financial rights or political rights, fundamentally the right to vote. \nFor these agreements, which are considered to run in parallel to the company's basic law, to not be used to harm the company, especially by the majority and the minority, they are subject, in respect to their validity and permissibility, to the supervision of the judiciary, which remains the determining factor in this matter only according to its opinion alone.
