|a ان الطبيعة العالمية وغير المادية للتجارة الإلكترونية , حيث لا مكان محدد يمكن تطبيق قانونه مما يتطلب قانوناً خاصاً يحكمها , بما يحقق الأمان القانوني الذي ينشده المتعاقدون ، وهل ان هذا القانون وطني ؟ أم انه قانون عالمي جديد؟ ، لذلك اتجه الكتاب في القانون الدولي الخاص إلى مجموعتين: الفريق الأول: ذهب الى تطبيق قواعد الأسناد بنوعيها (التقليدية و المرنة) ، والتي تعد الطريقة التقليدية في حل تنازع القوانين ، بسبب اتصال المعاملات التجارية الإلكترونية بالعديد من الدول مما يضفي الصفة الدولية على عقودها ، على الرغم من الصعوبات والعقبات القانونية التي تواجه تطبيقها خاصة تلك التي تعتمد على الضوابط المكانية. اما الفريق الأخر فأنه ينادي بضرورة تطبيق قانون غير وطني ، من خلال العمل على إيجاد قواعد مادية تطبق مباشرة لحل منازعات التجارة الإلكترونية ، مستنداً في ذلك لسببين، الأول هو خصوصية النزاعات التي تميز التجارة الإلكترونية عن غيرها ، والثاني يشير إلى العيوب التي تؤدي اليها تطبيق قواعد الأسناد في حل تنازع القوانين , مما دفع التشريعات الوطنية والدولية والمنظمات الدولية ذات العلاقة اضافة الى مجتمع الأنترنت ,للعمل على خلق القواعد المادية للتجارة الإلكترونية , لذا سوف يتناول بحثنا هذا , ماهية القواعد المادية للتجارة الإلكترونية ، وخصائصها ومصادرها ، ومن ثم تقييمها.
