المستخلص: The aim of this article is to introduce the concept of corporate governance, by focusing on the approach of the agency theory, it explains initially the specific agency problems of the public company. We will then examine all stages of the reform of the Algerian public companies, with a focus on the role of the state shareholder in the management of public company, and finally, we discuss the reasons of the new reorganization of EPC in public industry groups and the challenges in terms of good governance.

Dans cet article, nous allons introduire brièvement le concept de la gouvernance d'entreprise, en privilégiant l’approche de la théorie de l’agence. Nous exposerons en premier lieu les spécificités des relations d’agence dans l’entreprise publique. Ensuite nous aborderons toutes les étapes de la réforme et de la restructuration des entreprises publiques économiques algériennes, en mettant l’accent sur la relation d’agence et le rôle de l’Etat dans leur gestion. Nous aborderons enfin de manière synthétique les raisons de la transformation de ces EPE en groupements industriels en mettant l’accent sur les principaux défis auxquels elles seront confrontées dans leur gouvernance.

نتطرق في هذا المقال إلى مفهوم حوكمة المؤسسات مرتكزين في ذلك على مقاربة "نظرية الوكالة"، حيث نتطرق بداية إلى خصائص علاقة الوكالة في المؤسسات العمومية، ومن ثم نستعرض كل مراحل الإصلاح، وإعادة الهيكلة التي خضعت لها المؤسسات العمومية الاقتصادية الجزائرية، والتركيز على علاقة الوكالة ودور مساهمة الدولة في تسيير المؤسسات العمومية في كل مرحلة من مراحل الإصلاح. ونتطرق في الأخير باختصار إلى عملية الإصلاح وإعادة الهيكلة الجديدة التي تشهدها المؤسسات العمومية الاقتصادية وأسباب تحولها إلى مجمعات صناعية، في خضم التحديات التي سوف تواجهها في مجال الحوكمة.
