يمثل مفهوم حوكمة الشركات نظاما واسعا لتطبيق آليات وإجراءات محددة ومعروفة تحكم، عمل المنظمات، وفي إطار هذه الإجراءات يتم التركيز على تعزيز الثقة بين مختلف الفئات، وتبني مفاهيم الشفافية. والنزاهة والعدالة والمساءلة والرقابة والموضوعية لتحقيق الأهداف البعيدة المدى. وسوف يقوم الباحث بنظر إلى دور حوكمة الشركات وخصائصها من خلال استعراض الإطار العام لحوكمة الشركات وتوضيح النواحي الاجتماعية والرقابية والاقتصادية لحوكمة الشركات، ثم استعراض أهمية حوكمة الشركات وأهدافها، ثم التطرق إلى خصائص حوكمة الشركات في المؤسسات المساهمة بصورة خاصة وذلك لأهميتها على الاقتصاد الوطني. كما سيقوم الباحث بشرح أهم ممارسات الحوكمة الشركات في تحقيق الإصلاح الإداري في مؤسسات القطاع العام.
The concept of corporate governance symbolizes a broad system of applying some specified and known mechanisms and procedures governing the operation of the organizations. Meanwhile in the course of these procedures, a concentration is made on strengthening confidence and developing the senses of transparency, fairness, justice, accountability, control and objectivity among different parties, in order to achieve the far-reaching objectives. Thus, the researcher would look into the role being played by the corporate governance and its features by reviewing the general framework of the corporate governance and explaining its social, supervisory and economic aspects, coupled with the review of importance and objectives of corporate governance. Also, he would deal with the characteristic features of corporate governance, particularly in the joint-stock establishments due to their significance in the national economy. Besides, the researcher would explain the most important practices in the corporate governance in order to realize an administrative reformation in the public sectors’ institutions.
