يمر الاقتصاد الكويتي في الآونة الأخيرة بمرحلة تطويرية سريعة تكتنفها العديد من التغييرات التي لم تشهدها البلاد من قبل، وهذا ما حفز المشرع الكويتي للتدخل وإقرار عدة تشريعات تجارية مهمة وعلى رأسها قانون الشركات الكويتي الجديد رقم (1) لسنة 2016، والذي سمح بتأسيس شكل جديد من أشكال الشركات التجارية إلا وهو شركة الشخص الواحد ذات المسؤولية المحدودة. فهذا البحث يسلط الضوء على هذا الشكل الجديد للشركة في قانون الشركات الكويتي الجديد وهي شركة الشخص الواحد محاولاً تعريف البيئة القانونية في دولة الكويت بفكرة هذه الشركة الجديد، بالإضافة إلى الإجابة على عدة تساؤلات قد تطرأ للمهتم في مجال قانون الشركات في دولة الكويت، مع الأخذ بالاعتبار بأن هذه الدراسة هي الأسبق في هذا المجال وفقا للقانون الكويتي. ولما كان مقتضي فكرة شركة الشخص الواحد ذات المسؤولية المحدودة هي أن يقوم شخص بتخصيص جزء من أمواله لاستثمارها في مشروع تجاري بمفرده على أن تحدد مسؤوليته فقط في أمواله المستثمرة في هذه التجارة، ونظراً للضمان الضعيف لدائني الشركة في حال إفلاس أو تدهور في هذه الشركة، فكان لزاماً تسليط الضوء على أهم الضمانات المتوفرة لهؤلاء المتعاملين مع هذه الشركة وفقاً لقانون الشركات الكويتي الجديد كالرجوع على الشريك الوحيد في أمواله الخاصة في حالات الغش أو الإهمال في الإدارة، وكذلك كاشتراط الإفصاح عن شكل الشركة وغيرها من الضمانات التي نص عليها المشرع الكويتي كحد أدني، وعليه يتناول هذا البحث دراسة هذه الضمانات لتقييمها ومقارنتها مع القوانين الأخرى، واقتراح ضمانات جديدة لا تعيق ولا تتعارض مع الهدف من تأسيس مثل هذه الشركات في الكويت.
Nowadays Kuwait economy is going through prompt development, which entails the issuance of a number of legislations, thus the Kuwaiti legislator have intervened and issued new important commercial laws. The new Kuwaiti companies Law No. 1/2016 was among these laws, which allows the incorporation of One Man Company or Single Member Company with limited liability. Thus, this article will shed a light on a new form of commercial company stipulated for in the new Companies Act in Kuwait, that is the Single Member Company aiming at providing the legal environment in Kuwait with the principles that governs such form of company. In addition, this article will target to answer the questions that might be posed by the interested practitioners in the commercial field in Kuwait, taking into consideration that this article of one of the preliminary studies in this field in Kuwait. Since the sole member in such company has limited liability against the company's debts and because of the weakness of the creditors legal protection in such company such as in case of the insolvency of the single member or the deterioration of the company, it requires us to highlight the most important protections measures that is available for the creditors in the new Companies Act in Kuwait, for example, piercing the corporate veil in case of the fraudulent act committed by the single member, in addition to the disclosure of the company's form as limited liability. Therefore, in this article the examination will be through the comparison between what have been enshrined in the abovementioned Law and the developed countries Laws. Finally, this article will propose new provisions that should be incorporated in the Kuwaiti Companies law that will enhance the legal protection for the Single Member Company creditors in Kuwait.
