إن مبدأ الحكم الرشيد يشكل الرافعة الأساسية للتنمية الاقتصادية والاجتماعية، فهو بمثابة الروح الاقتصادية للشركات، وبالتالي بروز حوكمة الشركات نظرا لاهتمامه وعلاقته بالمناخ والممارسات الإدارية والمالية، التي طغت على جوانبها مظاهر آثار الفساد المالي والإداري والمحاسبي، وصولا إلى الانهيارات والفضائح المالية، التي طلت كبريات الشركات، أدى إلى التفكير في وضع آليات من شأنها أن تعالج هذه الظاهرة، بعدما فشلت الأساليب التقليدية في منع هذه المسببات لضرورة وجود نظام يرتكز على مبدأ المساءلة، والشفافية، والنزاهة، والإنصاف ومسؤولية جميع الأطراف المشاركة وحماية حقوق جميع أصحاب المصالح في الشركة، وجرأة صناع القرار كما هو الحال في شركة أن سي أ- رويبة- الجزائر .

Le principe de la bonne gouvernance est à la base d'une grue de développement économique et social, c'est comme les entreprises économiques de l'âme, et donc l'émergence de la gouvernance d'entreprise en raison de son attention et sa relation avec les pratiques du climat et de la gestion et financiers, qui ont dominé les aspects de la manifestation des effets de la corruption financière et administrative et comptable, à l'Alatahyarat et les scandales financiers, qui apparition en tant qu'invité grandes entreprises , conduit à l'idée dans le développement de mécanismes qui permettraient de comprendre ce phénomène, après l'échec des méthodes traditionnelles pour éviter que ces causes de la nécessité d'un système basé sur le principe de la responsabilisation, la transparence, l'intégrité et l'équité et la responsabilité de toutes les parties concernées et la protection des droits de tous les acteurs de l'entreprise, et le courage les décideurs, comme c'est le cas dans l'entreprise à un C - Rouïba - Algérie.
