The economic institution is the heart of the economy and the link that connects the total economic agents. Its collapse means the collapse of the national economy as a whole. This is one of the most basic reasons that made the scholars and the state pay attention to the depressing laws that try to preserve these institutions and their owners. And its shareholders this on the one hand and on the other hand/take care of the administrators and preserve their rights. The success of the economic institution means the development of the economy and the recovery of the state. Therefore, it is necessary to try to raise its performance and effectiveness and thus try to reach efficiency. Since the latter is linked to the administration, this means paying attention to it in terms of controlling the laws and basic principles. All this can be talked about in corporate governance, where it came up with a set of laws and principles. This was the result of a series of developments and theories that each time tried to adjust the foundations and characteristics of the organization and management. This abstract translated by Dar AlMandumah Inc 2018. تعتبر المؤسسة الاقتصادية هي القلب النابض للاقتصاد والحلقة التي تصل بين مجموع الأعوان الاقتصادية فانهيارها يعني انهيار الاقتصاد الوطني ككل وهذا من أهم الأسباب الأساسية التي جعلت من الدارسين والدولة الاهتمام بالقوانين الردعية التي تحاول المحافظة على هذه المؤسسات ومالكيها ومساهميها هذا من جهة ومن جهة أخرى الاهتمام بالإداريين والحفاظ على حقوقهم. إن نجاح المؤسسة الاقتصادية يعني تطور الاقتصاد وانتعاش الدولة لهذا من الواجب محاولة الرفع من أدائها وفعاليتها وبالتالي محاولة الوصول إلى الكفاءة، وبما أن هذه الأخيرة مرتبطة بالإدارة فهذا يعني الاهتمام بها من حيث ضبط القوانين والمبادئ الأساسية لها وكل هذا يمكن التكلم عنه في حوكمة الشركات، حيث جاءت بمجموعة من القوانين والأسس وكان ذلك نتيجة مجموعة من التطورات والنظريات التي كانت تحاول في كل مرة ضبط الأسس والخصائص الخاصة بالمؤسسة والإدارة. L’entreprise économique est considérée comme l’épine dorsale de l’économie et le lien entre tous les agents économiques. Sa régression implique la décadence de toute l’économie nationale. Celle-ci est l’une des causes principales qui a incité les chercheurs et l’Etat a donné une importance vitale aux lois qui essayent de sauvegarder, d’une part, ces entreprises, ses propriétaires ainsi que ses actionnaires et d’autre part, donner une importance aux administrateurs et sauvegarder leurs droits. Le succès de l’entreprise économique implique l’accroissement de l’économie et la relance de l’Etat c’est la raison pour laquelle il est du devoir d’essayer de promouvoir sa performance et son efficacité et par la suite d’essayer d’arriver à sa capacité. Du moment que cette dernière est intimement liée à l’administration, ceci veut dire lui conférer une importance du point de vue de la stricte application des lois et ses principes. Tout ceci nous conduit à parler de la gouvernance des entreprises. Cette dernière a un apport non moins important, en matière de textes législatifs et principes qui légifèrent le bon fonctionnement des entités économiques. Cet état de fait est dügräçe au nombre considérable de théories qui, à chaque fois, essayaient de mettre en exergue les fondements et les caractéristiques inhérentes à l’entreprise et à l’administration. |
