|a بالنظر إلى طبيعة قطاع الطيران وتعدد الأطراف الفاعلة فيه من دول ذات سيادة على أقاليمها الجوية إلى شركات عالمية ذات ميزانيات ضخمة، تكون التفاعلات المصلحية الكبرى حقيقة من الحقائق الثابتة في هذا القطاع. وبشكل تدريجي، عرف هذا القطاع أفكارا جديدة على مستوى التنظيم الرشيد للإدارة، وهي أفكار صارت تعبر عن نفسها الآن على هيئة ثقافة جديدة، تتحرى العلاقة بين القانون والحوكمة الرشيدة.\nوفي الحالة الكويتية تحديدا، فإن مؤسسة الخطوط الجوية الكويتية - الناقل الوطني لدولة الكويت - قد مرت بتحديات كبرى سياسية واقتصادية معا (الاحتلال العراقي، ضعف الإدارة، دخول لاعبين جدد إلى السوق)، نأت بها لسنوات طويلة عن مسار المنافسة مع نظيراتها من الشركات الخليجية، إلا أنه بصدور القانون رقم (6) لسنة 2008 في شأن تحويل مؤسسة الخطوط الجوية الكويتية إلى شركة مساهمة وتعديلاته، دبت الدماء فيها من جديد وبدأ العمل على تحويل المؤسسة إلى شركة.\nومع ذلك، فتحديات المهمة كبيرة، من حيث إنها تتطلب التصدي لعدة جبهات معا، كجبهة التمويل والأصول، رفع مستوى التنافسية التجارية، الالتزام بالنظم الرقابية، وتسوية المنازعات، إبرام عقود التأمين، إدارة المخاطر، وكل ذلك ضمن حدود التنظيم السوي وفقا لقواعد الحوكمة الرشيدة.\nعلى خلفية ما تقدم، تبحث هذه الورقة العلمية في الحوكمة الرشيدة كما تطبق في قطاع الطيران، مع إلقاء الضوء على بعض التجارب المقارنة، من خلال تناول الأطر العامة لهذه التجارب، مع التركيز على شركة الخطوط الجوية الكويتية كدراسة حالة.\nإذ لما كانت الخطوط الجوية الكويتية تمر بمرحلة تحولية تظل فيها جميع آفاق الاحتمال والإمكان واردة، فإن رسالة هذا البحث هي أن دراسة ((الكائن)) (أي أفضل الممارسات Best Practices) يمكن جدا أن تحسن في تحقيق أفضل درجات ((الممكن)) (المتمثل في مشروع حوكمة الكويتية).

|f Given the nature of the aviation sector and the multiplicity of its actors, from States sovereign over their air territories to global companies with huge budgets, major interest interactions are a constant fact in this sector. Gradually, this sector has introduced new ideas at the level of rational organization of management. These are ideas that now express themselves in the form of a new culture that investigates the relationship between law and good governance.\nSpecifically, in the Kuwaiti case, Kuwait Airways Corporation (KAC) - the national carrier of the State of Kuwait - has gone through major political and economic challenges (Iraqi occupation, poor management, entry of new players into the market) that distanced it from the course of competition with its counterparts of Gulf companies for many years. However, with the promulgation of law No. (6) of 2008, on the conversion of Kuwait Airways Corporation into a joint-stock company and the amendments thereof, the blood kicked in it again, and work began to transform the corporation into a company.\nHowever, the challenges of the task are significant as they require responding to several fronts together, such as finance and assets, raising the level of business competitiveness, adherence to regulatory regimes, dispute resolution, insurance contracts, risk management, all this is within the limits of proper regulation in accordance with the rules of good governance.\nAgainst the background of the above, this scientific paper examines good governance as applied in the aviation sector while highlighting some comparative experiences by addressing the general frameworks of these experiments with focusing on Kuwait Airways as a case study as it is in a transformative phase in which all prospects for possibility and potential remain in place. \nThe message of this research is that the study object, i.e., Best Practices, can very much help in achieving the best score possible represented by the Kuwaiti Governance Project.\nThis abstract translated by Dar AlMandumah Inc. 2021
