|a شهد الاقتصاد العالمي عموما والقطاع المصرفي لكثير من الدول خصوصا، عدة أزمات اقتصادية وانزلاقات مالية خطيرة عصفت بكثير من الأسواق المالية، الأمر الذي دفع بالعديد من الهيئات والمؤسسات للبحث عن سبل مواجهة مثل هذه التقلبات الاقتصادية، ووسائل قانونية لحماية الأسواق المالية والارتقاء بأدائها وتعزيز كفاءتها.\nوتعد الحوكمة إحدى أهم آليات تحسين أداء الشركات وضمان نزاهة وشفافية معاملاتها، فضلا عن دورها وأثرها في تكريس كفاءة الأسواق المالية، باعتبارها سياجا منيعا ضد كثير من التصرفات السلبية والتلاعبات المالية في سوق المال، إذ هي وسيلة لضمان توازن المصالح العامة والخاصة تهدف لحماية حقوق الأفراد والمساهمين والشركات ومختلف المؤسسات المالية.\nويعالج هذا البحث تطبيق الحوكمة باعتباره إجراء جوهريا لتأمين معاملات الأسواق المالية وتعزيز الثقة والشفافية وترقية مستوى الكفاءة لديها، وذلك من خلال بيان مضمون الحوكمة وأسباب اعتمادها وضوابطها، ثم إبراز دورها في تحسين أداء الشركات وتعزيز دور مجلس الإدارة فيها، وتحسين حقوق المساهمين وحماية صغارهم، وكذا المعاملات ذات الصلة بأصحاب المصلحة، وإدارة مخاطر المؤسسات، فضلا عن بيان الآثار والأبعاد الإيجابية للحوكمة في تعزيز الثقة في التعاملات المالية وتطوير وترقية كفاءة الأسواق المالية.

|f The global economy, in general, and the banking sector of many countries, in particular, have witnessed several economic crises and serious financial slips that hit many financial markets. This prompted many bodies and institutions to look for ways to confront such economic fluctuations and legal means to protect financial markets, improve their performance, and enhance their efficiency.\nGovernance is one of the most important mechanisms for improving the performance of companies and ensuring the integrity and transparency of their transactions, as well as its role and impact in promoting the efficiency of financial markets as a resisting fence against many negative actions and financial manipulations in the capital market. It is a means of ensuring the balance of public and private interests aimed at protecting the rights of individuals, shareholders, companies, and various financial institutions.\nThis research addresses the application of governance as an essential measure to secure financial market transactions, enhance trust and transparency and upgrade their level of efficiency by explaining the content of governance, the reasons for its adoption and controls, and then highlights its role in improving the performance of companies and enhancing the role of the Board of Directors therein, improving shareholders' rights and protecting the small ones, as well as stakeholder related transactions, and enterprise risk management.
