وضعت الأحداث التي مر بها الاقتصاد العالمي في العقود الأخيرة، وما أفرزته من الأزمات المالية وانكشاف الشركات المساهمة، مفهوم الحوكمة في دائرة الاهتمام، باعتبارها ضمانة للاستقرار المالي والاستمرار الوظيفي، وعززت تطبيقاتها من المحافظة على القدرة التنافسية والمساهمة التنموية، كما ظهر الاهتمام العلمي والبحثي بها، في الدراسات الاقتصادية والمحاسبية والقانونية والإدارية، ولقد كان من أهم التطورات تجاه تطبيقات الحوكمة أن امتد مجال تطبيقها إلى منظومات القطاع الأهلي والتطوعي، بل وإلى القطاع الحكومي، وهو ما بدا واضحاً في برنامج التحول الوطني (٢٠٢٠) ورؤية (٢٠٣٠) بالمملكة العربية السعودية، حيث تم اعتماد الحوكمة كأساس لتنسيق الجهود بين الجهات المشاركة في البرنامج ورفع كفاءة العمل والتحسين المستمر ورفع معايير الرقابة ومتابعة الأداء، واعتمد ضمن الأهداف الاستراتيجية لوزارة العمل والتنمية الاجتماعية: بناء قدرات الجهات العاملة في القطاع الثالث وحوكمتها، وإدراكاً لأهمية استقرار التنمية الاجتماعية، امتد الاهتمام التنظيمي في المملكة العربية السعودية إلى تنظيم الكيانات المساهمة والفاعلة في نمو المجتمع لتحسين أدائها وضمان مواجهة التحديات وعدم التعرض للمصاعب والمخاطر التي قد تعيق مسيرتها، وأصبح من الواضح ضرورة توافر منظومه قيمية والتزام أخلاقي واجتماعي لتعزيز النجاح العملي للمؤسسات والجمعيات الأهلية لتكون وسيلة لتعزيز أدوارها وقياس أدائها، ولذا تهدف هذه الدراسة إلى إبراز مفهوم الحوكمة وتسويق ممارساتها، وإبراز دورها في مجال الإصلاح التنظيمي والتنمية الاجتماعية، والتعريف بآليات ومتطلبات تعزيز دورها في المؤسسات الاجتماعية واكتشاف المقترحات المساعدة لتفعيل تطبيق الحوكمة. مستفيداً من الدراسات الفقهية المعاصرة لهذا المبدأ - في مجال المؤسسات المالية والشركات والأوقاف ونحوها - والتي عملت على تأصيله وتتبع فروعه الفقهية وما يمكن أن يؤسس له من القواعد الفقهية والمقاصدية ونحوها، مستعملا منهج البحث الوصفي التحليلي المقارن، وأظهر البحث عدداً من التوصيات، أسأل الله أن ينفع لها، والله الموفق والهادي إلى سواء السبيل.
The events experienced by the global economy in recent decades, and what has resulted of financial crisis and the exposure of joint stock companies, set the concept of governance in the circle of concern, for being a guarantee of financial stability and continuity of career, enhanced its applications by maintaining competitiveness of developmental contribution, as appeared on scientific and research concerns, in economic, accounting, legal and administrative studies, the most important developments towards governance applications was extended to fields of NGO & voluntary sector systems, as well as government sector, which was apparent in the National Transformation Program (2020) and vision (2030), in the Kingdom of Saudi Arabia, as governance have been approved as basis to coordinate efforts between participant authorities in the program and raise efficiency, continuous improvement and lift monitoring standards and performance follow up, and approved within strategic objectives of the Ministry of Labour and Social Development: building capabilities of authorities working in the third sector and governance, due to recognizing the importance of stability of social development, the organizational interest extended in Saudi Arabia to regulate participant & active entities in the growth of community to improve their performance and ensure countering of challenges and avoid exposure difficulties and risks that might hinder their progress, it became evident need for valorem system, moral and social commitment, to promote practical success of institutions non government organizations to be a mean of enhancing their role, measure their performance, therefore this study aims to highlight the concept of governance and marketing its practices, highlight its role in the field of regulatory reform and social development, definition requirements and mechanisms to enhance its role in the social institutions, discover proposals that help to activate the application of governance. By benefiting from contemporary jurisprudence studies to this principle - in the field of financial institutions, corporations, endowments and the likes – that worked on its rooting and followed its branches of jurisprudence and what it could establish its rules from of jurisprudence and objectivity and the like, using descriptive analytical comparative research method, the research has shown a number of recommendations, I seek Allah to make people it benefit of it, Allah is the Guider to the straight path, Allah's prayers and blessings be our Prophet Muhammad, his family and all companions.
