|a يتناول الباحثين الأهمية التي تحتلها الحوكمة في الأسواق المالية من أجل دعم الاقتصاد الوطني إذ تعد مؤشرا دقيقا وحساسا لسلامته، بينت الدراسة على أن السوق المالية لا يمكن لها أن تنمو وتزدهر إلا من خلال الثقة لدى المستثمرين بما يحقق العدالة والشفافية ويؤدي إلى خلق ضمانات ضد الفساد وسوء الإدارة، ولا يمكن أن يتحقق ذلك إلا من خلال الحوكمة، وتم اعتماد الاستبانة كوسيلة لجمع البيانات ولاستطلاع آراء أفراد العينة في سوق العراق للأوراق المالية ولإيجاد الحلول للإثارات البحثية التي تدور حول: ماهية جوانب حوكمة الشركات التي يهتم بها المستثمر. خلصت الدراسة إلى مجموعة استنتاجات أهمها أن محاولت الشركات في سوق العراق للأوراق المالية تحقيق الضوابط الخاصة بقوانين الفساد والشفافية والمساءلة والاهتمام بالنتائج لكنها لم تتمكن من الإيفاء بالالتزامات التي ألقاها على عاتقها قانون المصارف الجديد بهذا الخصوص على الرغم من رقابة البنك المركزي العراقي عليها فيما يتعلق بهذه الجوانب، مما يدلل على الحاجة الماسة لتطبيق هذه الضوابط والالتزام بها لأجل تحقيق الكفاءة الإدارية لهذه المصارف.

The study concluded a set of conclusions which tried to companies in the Iraqi market for securities achieving controls the laws of corruption, transparency and the issue and interest results, but has been unable to fulfill the obligations they have delivered it upon themselves to the Banking Act's New in this regard despite the censorship Nabek CBI them with regard to these aspects, which demonstrates the urgent need for the application of these controls, adhere to in order to achieve administrative efficiency for these banks, either the recommendations need to prepare annual reports disclose them to shareholders controlling all key risks associated with the identity of the controlling shareholders, and the degree of concentration of ownership, holdings cross-bank affiliate or subsidiary of the bank in question, and any imbalances between the voting power of the controlling shareholder and the position of public ownership.
