المستخلص: هدفت الدراسة إلى بحث العلاقة بين كلا من هيكل ومسئوليات مجلس الإدارة وكفاءة إدارة الأصول بشركات الصناعات الغذائية المدرجة في البورصة المصرية.
وقد تشكلت مشكلة الدراسة في الإجابة على تساؤل حول ما اذا كان هناك اثر لتطبيق قواعد وآليات الحوكمة فيما يتعلق بهيكل ومسئوليات مجلس الإدارة على كفاءة إدارة الأصول.
واعتمدت الدراسة على المنهج الوصفي التحليلي والمنهج الاستقرائي وذلك بهدف التوصل إلى نتائج اختبار الفرضيات والإجابة على التساؤل الذي تم طرحه من خلال مشكلة الدراسة، وقد تم اختيار مجتمع الدراسة من شركات قطاع الأغذية والمشروبات في مصر وتم اختيار عينة الدراسة من شركات القطاع المدرجة في البورصة المصرية وعددهم 26 شركة نظرا لسهولة الحصول على المعلومات للشركات المقيدة والتواصل مع الشركات عن طريق البيانات المتاحة بإدارة البورصة خلال الفترة من 2015 حتى 2017.
حيث توصلت نتائج الدراسة إلى انه توجد علاقة ذات دلالة إحصائية بين تطبيق قواعد هيكل مجلس الإدارة وبين كفاءة إدارة الأصول ممثلة في معدل دوران إجمالي الأصول ومعدل دوران المخزون ومعدل دوران العملاء ومعدل دوران الأصول الثابتة، وانه توجد علاقة ذات دلالة إحصائية بين تطبيق قواعد مسئوليات مجلس الإدارة وبين كفاءة إدارة الأصول ممثلة في معدل دوران إجمالي الأصول ومعدل دوران المخزون ومعدل دوران العملاء ومعدل دوران الأصول الثابتة.
وأوصت الدراسة بضرورة الاستفادة من النتائج التي تم التوصل إليها من خلال تعريف أعضاء مجلس الإدارة بأهمية الالتزام بمعايير هيكل المجلس ومسئوليات المجلس على تحسين مستوى كفاءة إدارة الأصول، بجانب ضرورة تضافر جهود المنظمات المهنية والجهات المعنية لتنمية الوعي لدى المساهمين والمستثمرين بإبراز أهمية هيكل مجلس الإدارة ومسئوليات مجلس الإدارة في تحسين مستوى كفاءة إدارة الأصول.

The study aimed to discuss the relationship between the structure and responsibilities of the Board of Directors and the efficiency of asset management in the food industry companies listed on the Egyptian Stock Exchange.
The study problem was to answer the question of whether the application of governance rules and mechanisms in relation to the structure and responsibilities of the Board of Directors had an impact on the efficiency of the asset management.
The study relied on the descriptive-analytical approach and the inductive approach to reach the results of testing hypotheses and answer the question raised through the study problem. The study community was selected from the food and beverage sector companies in Egypt. The study sample was selected from the 26 companies listed on the Egyptian Stock Exchange due to the ease of obtaining information for the listed companies and communicating with the companies through the data available at the EGX management during the period from 2015 to 2017.
The study results concluded that there is a statistically significant relationship between the application of the rules of the structure of the Board of Directors and the efficiency of asset management represented by the turnover rate of total assets, inventory turnover rate, customer turnover rate and fixed asset turnover rate. There is a statistically significant relationship between the application of the rules of responsibility of the Board of Directors and the efficiency of asset management represented by total asset turnover rate, inventory turnover rate, customer turnover rate and fixed asset turnover.
The study recommended the need to take advantage of the results reached at by informing the members of the Board of Directors of the importance of adhering to the standards of the Board's structure and the responsibilities of the Board to improve the efficiency of asset management. Besides the need to join efforts of professional organizations and stakeholders to develop awareness among shareholders and investors by highlighting the importance of the Board of Directors structure and the responsibilities of the Board of Directors in improving the efficiency of asset management.
