|a يعد عنصر التبعية من بين أهم العناصر المميزة لعقد عمل مسيري المؤسسات عن غيره من العقود المشابهة، كعقد المقاولة، وعقد التسيير، وعقد الوكالة، فوجود علاقة التبعية ينحصر في عقد العمل وحده بصفة عامة وعقد عمل مسيري المؤسسات على وجه الخصوص، ويقصد بها خضوع المسير الأجير لإشراف وتوجيه الشركة صاحبة العمل، غير أن الاعتماد على علاقة التبعية في جانبها التقليدي قد يعجز عن تكييف عقد عمل مسيري المؤسسات، ذلك لما لهؤلاء المسيرين من استقلالية وسلطات واسعة في تسيير المؤسسات التي يرتبطون معها بعقود عمل، الأمر الذي دفع بالبعض إلى البحث عن معايير أخرى لفك هذا اللبس على غرار التبعية النفسية، والعمل لحساب الغير.
|b Subordination item is one of the key distinguishing elements in the employment contract of corporate executives compared to other similar contracts such as contractor agreements, management contracts, and agency contracts. The existence of a subordination is limited to the empoyment contract in general and, more specifically, the contract of corporate executive employment. It means that the hired worker subject to the supervision and direct of the employer company. However, relying on the traditional aspect of the subordination relationship may beunable to adapt the employment contract of enterprise managers and extensive powers that these corporate executives possess in managing the institutions to which they are contractually linked. This has led some to explore other criteria to cut this problem along the lines of psychological subordination and working for others.
